An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Bank of India Mutual Fund
    • Bank of India Mutual FundWe have relied upon the auditors’ report, which has issued a qualified opinion on the standalone financial statements. The qualification pertains to the non-recognition of impairment losses on (i) the company’s wholly owned US subsidiary, Avant-Garde Infosystems Inc., where accumulated losses (Rs. 161.8 mn) exceeded the cost of investment (Rs. 127.6 mn), and (ii) an advance of Rs. 57.6 mn to KERNEX TCAS JV, where net assets were insufficient to recover the amount, resulting in an estimated impairment of Rs. 30.8 mn. As these impairments were not recorded, the auditors noted that profit and other equity were overstated by Rs. 158.4 mn for the year ended 31 March 2025. The auditors have also raised an emphasis of matter regarding trade receivables of Rs. 42.2 mn (with an Expected Credit Loss provision of Rs. 21.2 mn) outstanding for more than three years and margin money deposits of Rs. 190.5 mn provided for customer guarantees of Rs. 352.1 mn, which is under arbitration/negotiation. Given the audit qualifications on standalone financial statements, we do not support the resolution. We have relied upon the auditors’ report, which has raised an emphasis of matter regarding trade receivables of Rs. 42.2 mn (with an Expected Credit Loss provision of Rs. 21.2 mn) outstanding for more than three years and margin money deposits of Rs. 190.5 mn provided for customer guarantees of Rs. 352.1 mn, which is under arbitration/negotiation. We note that the auditors have highlighted certain issues related to the audit trail feature in the accounting software. Based on the auditors’ report, which is unqualified, the financial statements are in accordance with generally accepted accounting policies and Indian Accounting Standards (IND-AS). We support the resolution

Against Bank of India Mutual Fund
    • Bank of India Mutual FundThe standalone and consolidated debt stood at Rs. 307.4 mn and Rs. 318.6 mn respectively as on 30 September 2024. The proposed limit is high for the current scale of operations - the company incurred losses until FY24. Since FY25 it has turned EBTIDA positive, with an EBITDA of Rs. 238.4 mn and Rs. 236.9 mn on a standalone and consolidated basis respectively for 9MFY25. Further, the company’s debt programs are not rated, which raises uncertainty about its creditworthiness. We note that the company has received orders worth Rs. 20.4 bn from Chittaranjan Locomotive Works and Kernex led consortium have received orders worth Rs. 3.3 bn for supplying, installing, testing and commissioning of KAVACH equipment. We recognize that the company has received orders and hence may need to increase their borrowing limits for their business operations. However, the company must provide clarity regarding the capital structure that it intends to maintain. Further, we do not favor rolling limits linked to net worth and recommend that companies seek shareholder approval for a fixed borrowing limit. Given these reasons, we do not support the resolution.
