Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Against Bank of India Mutual Fund
    • Bank of India Mutual FundWe have relied upon the auditors’ report which has raised an emphasis of matter with regards to certain unusual adjustments posted by an employee to the trade receivables account amounting to Rs. 77.1 mn which pertains to prior years. These amounts have been charged to the Statement of Profit & Loss as ‘Other Expenses’ in the financial statements for FY24. The management has performed an independent investigation through an external consultant and does not expect any further impact on the financial statements. The auditor’s opinion is not modified in this regard. However, the auditors have issued a qualified opinion on the internal financial controls due to the lack of an appropriate internal control system relating to reconciliations of trade receivables balances and appropriate knocking of the receipts based on remittance advices from customers, which has resulted in some unusual adjustments being posted to the trade receivables account. The auditor has noted the following on the audit trail feature: (i) the audit trail feature was not enabled throughout the accounting software for the period 1 April 2023 to 19 March 2024, (ii) audit trail has been enabled on certain fields/tables in a phased manner from 20 March 2024 till 31 March 2024, (iii) The audit trail was not enabled for 1 April 2023 to 31 March 2024 for remaining fields relating to revenue, trade receivables, plant and equipment, purchases, trade payables, inventory, general ledger and other allied areas of the accounting software, (iv) The auditor is unable to comment on whether the audit facility for payroll has operated throughout the year since it was operated by a third-party service provider. Due to the qualified opinion on internal financial controls, we do not support this resolution.
