An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Tax disputes

Reported in the filing for the quarter to Jun 2026.

  • Tax disputeDirectorate General of GST Intelligence (GST Department)Since 13 Apr 2018
Director General of GST Intelligence conducted search on the Company premises (along with other Companies owned by the same promoters) on 13 April 2018. Accordingly, SCN dated 24th August, 2022 was issued for demand of tax along with interest and penalty. Pursuant thereto, on 03 February 2025, the GST Department passed an Order under Section 74(9) of the Central Goods and Services Tax Act, 2017 imposing a demand of Rs. 507.99 Lakhs (inclusive of penalty of Rs. 253.99 Lakhs). The GST Department has alleged that the Company has been involved in suppression of turnover and has sold the goods under incorrect classification. The Company challenged the said Order before the Hon'ble Punjab & Haryana High Court, which permitted the Company to avail the statutory appellate remedy. Thereafter, while filing the statutory appeal, it was noticed that the demand in FORM GST DRC-07 had been erroneously reflected under the IGST head instead of CGST/SGST and IGST as per the Order. Accordingly, Rectification Applications were filed and the Department has acknowledged the discrepancy and initiated the rectification process. Based on the opinion obtained from the external legal counsel, the management believes that it has a strong case on merits and accordingly the amount has been disclosed as a contingent liability.MoreLess
