An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against DSP Mutual Fund
    • DSP Mutual FundBang Hee Kim, 65, is the CEO of JNK Global Co. Limited, a promoter entity holding 17.96% stake in the company on 30 June 2026. He has served as Non-Executive Non-Independent Director on JNK India’s board since 16 August 2010. He attended four out of six (67%) board meetings held in FY26 and twenty-three out of twenty-nine (79.3%) board meetings held over the last three years. We expect directors to attend all board meetings and, at a minimum, 75% board meetings in a year. The company avails technical consultancy services/ guidance from Bang Hee Kim under a consultant agreement dated 1 April 2023 for which he is paid professional fees. He received Rs. 22.5 mn as professional fee in FY26 and his proposed remuneration for FY27 is Rs. 30.0 mn (~4% of FY26 PBT), which is high. The company already has a technical collaboration with JNK Global Co Limited – therefore, the company must clarify the reason for the additional professional fees to be paid to Bang Hee Kim. We do not support the resolution.

  • 1. Material Related Party Transactions with JNK Chemdist Technologies Private Limited, subsidiary of JNK India Limited.
Against Kotak Mahindra Mutual Fund, LIC Mutual Fund
    • Kotak Mahindra Mutual FundThe Company is extending financial and non-financial support to JCTPL, a newly incorporated subsidiary in which it holds a 51% stake. This is a new strategic initiative and that such support may be required at this stage, and accordingly we raise no concerns with the support extended to JNK Chemdist. However, we do not have clarity on the nature and extent of support, if any, to be provided by the remaining 49% shareholders of JCTPL.. As company states, the entire financial assistance of Rs. 70 cr is provided by the company. In this 70 Cr, 30 Cr is unsecured loan, 10 cr in the form of preference share and rest is corporate guarantee. To assess the overall risk allocation, particularly given that JCTPL is newly incorporated and has not yet demonstrated its financial or operational capabilities, we do not have enough information to support this rational. Hence, we do not support the resolution.
    • LIC Mutual FundGovernance and Transparency concern: The Company is extending financial and non-financial support to JCTPL, a newly incorporated subsidiary in which it holds a 51% stake. It is understood that this is a new strategic initiative and that such support may be required at this stage, and accordingly no concerns are identified with the support extended per se. However, there is no clarity on the nature and extent of support, if any, to be provided by the remaining 49% shareholders of JCTPL. This information is essential to assess the overall risk allocation, particularly given that JCTPL is newly incorporated and has not yet demonstrated its financial or operational capabilities. Further, the Company has not disclosed how the terms of the loan/deposit, the absence of guarantee commission, and the preference share investment comply with the arm s length principle. Accordingly, governance and transparency concerns are identified in relation to the RPT

    • Kotak Mahindra Mutual FundAs company states, the Company is proposing to provide financial support (as mentioned in Resolution # 1) to JCTPL for operational growth and for the ability to service the proposed subcontracting arrangements to the tune of Rs. 84 crore, which shall be realised from CPSPL on execution of the orders. However, we do not have assurance about the future order and exact benefit to JNK India. Hence, we do not support the resolution.
    • LIC Mutual FundGovernance and Transparency Concern: Basis for arm s length pricing has not been disclosed for the subcontracting-related RPTs proposed. It appears that JCTPL would be undertaking these RPTs with CPSPL largely using the financial and non-financial support extended by the Company under Resolution No. 1, which raises concerns given that JCTPL is newly incorporated and there is no clarity on the support to be provided by the other shareholders. Additionally, CPSPL s financials do not indicate adequate capacity to meet the subcontracting consideration payable to JCTPL
