An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Further, the attendance of the proposed appointee is poor in the Board and Committee meetings and no justification for leave of absence has been provided.

He attended two out of five (40%) board meetings held in FY26 and 8 out of 19 (42%) board meetings held in past three years. We expect directors to attend atleast 75% of the board meetings in the year of attendance and over a three-year period prior to reappointment. Given the low attendance, we do not support his reappointment as Independent Director.

LLP are serving as Statutory auditors of one of its material subsidiaries viz., JM Financial Credit Solutions Limited (JMFCSL), an NBFC registered with RBI since FY22. Thus, in accordance with the provisions of the guidelines issued by the RBI, BSR & CO. LLP have completed their three-year tenure as auditors of JMFCSL. As a result, the Group audit coverage of BSR & Co. has substantially reduced. Therefore, in order to have sufficient audit coverage by a single auditor across the Group, it is proposed that a common auditor is appointed for the Company and few of its subsidiaries. BSR & Co., LLP were paid audit fees of Rs. 4.7 mn in FY24. The company proposes to pay an audit fee (including fees for limited review) of Rs. 5.0 mn excluding applicable taxes and reimbursement of out-of-pocket expenses to KKC & Associates LLP for FY25. We believe the remuneration is reasonable for the scale of business. Notwithstanding, we note that KKC & Associates LLP have been statutory auditors of the company’s subsidiary: Infinite India Investment Management Limited since 2013 and have been auditors of JM Financial Asset Management Limited since 2018. While the appointment is in line with statutory requirements, we raise concerns over auditor independence and objectivity given the long and continued association with the group. Since the overall association of KKC & Associates LLP with the group exceeds ten years, we are unable to support their appointment.
