An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Further, the remuneration is skewed in favour of promotor family members on the Board. Due to the above concerns, the AMC has voted against the resolution.

  • Appointment of Dr. Nand Gopal Khaitan (DIN: 00020588) as a Director and also as an Independent Director of the Company for a term of five consecutive years with effect from 9th February 2026.
Against Angel One Mutual Fund, Axis Mutual Fund, Bajaj Finserv Mutual Fund, Bandhan Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Kotak Mahindra Mutual Fund, Mirae Asset Mutual Fund, Motilal Oswal Mutual Fund, Navi Mutual Fund, Nippon India Mutual Fund
    • Angel One Mutual FundGovernance Concern: Prolonged association with the Group. Transparency concern: Lack of clarity regarding Pecuniary Relationship. Such prolonged association with the Group and Pecuniary relationship (if any) may vitiate or hamper independence of director.
    • Axis Mutual Fund, Bandhan Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Navi Mutual FundAppointment is compliant with the law. No concerns on the merit of the proposed appointee. Governance Concern: Prolonged association with the Group. Transparency concern: Lack of clarity regarding Pecuniary Relationship. Such prolonged association with the Group and Pecuniary relationship (if any) may vitiate or hamper independence of director.
    • Bajaj Finserv Mutual FundThe Company is seeking shareholders’ approval for appointment of Mr. (Dr.) Nand Gopal Khaitan, as a Non-Executive Independent Director for a term of 5 (five) consecutive years w.e.f. 9th February, 2026 and also seeking approval as he will be attaining the age of 75 years during his current term of appointment as ID. Dr. Nand Gopal Khaitan, aged seventy-four years, is practicing as Attorney and Advocate in the Hon’ble Calcutta High Court and the Hon’ble Supreme Court of India, He is a Senior Partner of M/s Khaitan & Co. which is one of the largest law firms in India. He is a Notary appointed by the Government of India. Mr. Nand Gopal Khaitan is holding a full-time position/ role as a Senior Partner of M/s. Khaitan & Co. + 6 ID positions in a listed entity. Further, AGI Greenpac Limited and Hindware Home Innovation Limited belong to the same promoter group (Somany Group), having originated from the erstwhile HSIL Limited pursuant to a demerger. Accordingly, both entities continue to be promoter group companies. Mr. Nand Gopal Khaitan is a Senior Partner of Khaitan & Co. Previously in FY 2022-23/ FY 2023-24, M/s. Khaitan & Co. has rendered legal advisory services to JK Tyre & Industries Limited on significant transactions, including corporate restructuring initiatives such as mergers and amalgamations (notably involving Cavendish Industries Limited), as well as capital raising through the issuance of compulsorily convertible debentures to the International Finance Corporation (IFC) on a preferential basis. These engagements are strategic in nature and may be considered material from a professional services standpoint. Further to note that, appointment of Nand Gopal Khaitan, a senior partner of M/s. Khaitan & Co, as an Independent Director on the Board raises potential concerns regarding independence. While the Companies Act, 2013 and SEBI (LODR) Regulations prescribe thresholds for material pecuniary relationships, the presence of a senior partner from a firm that has had a professional relationship with the Company may give rise to perceived conflict of interest concerns. In the absence of adequate disclosures regarding the quantum and recency of such transactions, and basis the arising conflict of interest, we are voting against the resolution.
    • Kotak Mahindra Mutual FundDr. Nand Gopal Khaitan, 74, is Senior Partner at Khaitan & Co. He has over fifty years of experience in all aspects of laws and is a practicing attorney, advocate and notary. From public sources, we note that Khaitan & Co. LLP has represented the company over the years and has a continuing business relationship with the company. As the appointee is the partner at Khaitan & Co. LLP and the said auditor firm is the Auditor of the company, we cannot consider Nand Gopal Khaitan to be an independent director. We do not support the resolution.
    • Mirae Asset Mutual FundAs per advisory recommendation (Passive holding)
    • Motilal Oswal Mutual FundProlonged association with the group. Non-material pecuniary relationship with the Company.
    • Nippon India Mutual FundGovernance and Transparency Concern: Prolonged association with the Group and lack of clarity regarding Pecuniary Relationship.

    • Angel One Mutual Fund, Nippon India Mutual FundGovernance concern: Skewed remuneration in favour of promoter director.
    • Axis Mutual FundIn FY25, Bharat Hari Singhania received a remuneration of Rs. 60.7 mn (including Rs. 20.0 mn commission and fixed pay of Rs. 40.2 mn). The total remuneration to other Non-Executive Directors for FY25 was Rs. 17.8 mn. His FY25 ratio to median employee remuneration is 92.5x, which is high for a Non-Executive Director. We raise concern that he is entitled to a fixed remuneration of Rs. 40.2 mn per annum in addition to commission which is uncapped in absolute terms. Further, there are several other promoter family members on the board. Promoter family compensation (including Bharat Hari Singhania) is high – aggregating Rs. 628.3 mn in FY25, which was 8.4% of consolidated profits before taxes and exceptional items. Therefore, we do not support this resolution.
    • Bandhan Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Motilal Oswal Mutual Fund, Navi Mutual FundCompliant with law. Governance concern: Skewed remuneration in favour of promoter director.
    • HDFC Mutual FundMr. Bharat Hari Singhania, is part of the promoter family and Non-Executive Director. We support his reappointment to the board as Non-Executive Director, however, the proposed remuneration to Mr. Bharat Hari Singhania is not reasonable for a Non-Executive Director. We do not support this resolution.
    • HSBC Mutual FundA vote AGAINST this resolution is warranted because the proposed pay structure of Bharat Hari Singhania comprises of a fixed element, which is more indicative of an executive role within the company. The proposed quantum of remuneration is deemed high for a non-executive role.

    • Angel One Mutual Fund, Nippon India Mutual FundGovernance concern: Skewed remuneration in favour of promoter directors; No absolute cap on variable pay.
    • Axis Mutual FundAnshuman Singhania, 46, is part of the promoter family and Managing Director. He has been on the board since 16 March 2016 and was appointed as Managing Director w.e.f. 21 October 2020. He attended all six board meetings (100%) held during FY25. He received a remuneration of Rs. 262.1 mn in FY25, which was 3.5% of consolidated profits before taxes and exceptional items and 402.6x the median employee remuneration. We are unable to reliably estimate his overall remuneration. We raise concern that the remuneration terms include a performance-linked variable pay as well as a profit-linked commission. The commission is open-ended at 2% of net profit, with power to the board to approve an even higher percentage of profits. The company must consider capping both these payouts in absolute amounts. Currently the variable pay is open-ended and consequently the entire remuneration structure is open-ended. The company must disclose performance metrics which will be used to determine the variable payout. While we support his reappointment to the board as Managing Director, given the lack of clarity and a cap on the variable pay components, we are unable to support this resolution.

    • HDFC Mutual FundMr. Anshuman Singhania, 46, is part of the promoter family and Managing Director. We support his reappointment to the board as Managing Director, however, his proposed remuneration is high considering the size of the business. We do not support the resolution.
    • HSBC Mutual FundA vote AGAINST this resolution is warranted in view of the following concerns in the executive's remuneration as there is a lack of absolute cap on the commission element which makes the proposed remuneration structure open ended and may lead to discretionary payouts. The executive will be paid the proposed remuneration as minimum remuneration even in the event of loss or inadequate profits of the company.
