An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Angel One Mutual FundPrior shareholder approval not obtained for continuation beyond 70 years.
    • Bandhan Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Navi Mutual FundNo concern on the merit of proposed appointee. Non-Compliant: The proposal is non-compliant due to the absence of prior shareholder approval for continuation beyond the age of 70 years. Section 196(3) of the Companies Act, 2013 stipulates that no company shall appoint or continue the employment of any person as Managing Director, Whole-time Director, or Manager who has attained the age of 70 years unless a special resolution is passed by the Company in this regard and a specific justification is given for such continuation. Mr. Anil Verma already attained the age of 70 years on 5th July, 2025 and the previous resolution did not obtain specific shareholder approval for Mr. Verma’s continuation as Whole-time Director beyond the age of 70 years during his earlier term. Although the present proposal seeks approval for continuation beyond 70 years from 31st January, 2026, however, the same will be obtained on 12th March, 2026. Since the specific approval is not obtained prior to the attainment of 70 years on 5th July, 2025, therefore, he ceased to be Wholetime Director of the Company w.e.f. the said date.
    • Kotak Mahindra Mutual FundAnil Kumar Verma, 70, is the Whole Time Director and the brother-in-law of Arun Jain, the promoter, Chairperson and Managing Director. He has been on the board since 30 September 2014. He attended all seven (100%) board meetings held in FY25 and all four (100%) board meetings in FY26 as on date of the notice. The company seeks approval for the continuation of Anil Kumar Verma on the board since he has attained 70 years of age as required under amendments to SEBI s LODR. Mr. Verma has already attended the age of 70 years on 5th July, 2025 but company has not asked for shareholder approval in their last resolution for continuation for his tenure. This re-appointment does not meet the regulatory requirement. Hence, we do not favour the resolution.
    • Nippon India Mutual FundNon-Compliant: Mr. Anil Verma attained the age of 70 years on 5th July, 2025, and no prior shareholder approval (special resolution) was obtained for his continuation as Whole-time Director beyond this age. • Angel One Mutual Fund, Nippon India Mutual FundTransparency concern: Inadequate disclosures & perpetual approval.
    • Axis Mutual FundThe commission paid to the Non-Executive Directors, including Independent Directors, between FY21 and FY25 was 0.2% of the standalone profit after tax. The company now seeks shareholder approval for payment of commission to all the Non-Executive Directors including Independent Directors in case of loss or inadequacy of profits, capped annually at Rs. 2.4 mn per director. The aggregate commission to all the Non-Executive Directors including Independent Directors shall not exceed 1.0% of net profits. The commission will be payable in addition to sitting fees and expenses for attending board and committee meetings. The proposed commission is reasonable and in line with market practices. However, the company has not defined a tenure for payment of commission and the resolution is effectively valid in perpetuity. We believe shareholders must get an opportunity to periodically approve such payments and therefore do not support the resolution.
    • Bandhan Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Motilal Oswal Mutual Fund, Navi Mutual FundCompliant with law. Transparency concern: Inadequate disclosures & perpetual approval.
    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted as the approval will be valid till perpetuity and shareholders will not get to review the payments in the future.
    • Kotak Mahindra Mutual FundThe commission paid to the Non-Executive Directors including Independent Directors between FY21 and FY25 ranged from 0.4% to 1.5% of standalone profits after tax. The company now seeks shareholder approval to decrease the maximum aggregate commission payable to all the Non-Executive Directors including Independent Directors, from Rs. 5.0 mn to Rs. 2.4 mn. The aggregate commission to all the Non-Executive Directors including Independent Directors shall not exceed 1.0% of net profits. The commission will be payable in addition to sitting fees and expenses for attending board and committee meetings. The proposed commission is reasonable and in line with market practices. The resolution is in line with statutory requirements. The company has not defined a tenure for payment of commission and the resolution is effectively valid for perpetuity. Perpetual approval undermines shareholder approval and the company has also not given clarification for the same, so we are not in favour of the resolution. Hence, we are voting against.

    • Angel One Mutual FundGovernance Concern: No absolute cap on the total Options that can be granted to a single Employee. Transparency Concern: No clarity as to whether the Company intends to grant RSUs; ambiguity with regard to the Grant Price of RSUs.
    • Axis Mutual FundASOP 2011 was previously administered under four schemes- Swarnam 11, 21, 31 and 41. The company proposes to amend ASOP 2011 for grant of RSUs under two new schemes- Swarnam 51 and 61. The options which are surrendered, cancelled or forfeited, which can be reissued as fresh grants as on 31 December 2024 is 2,034,910 options. These eligible options can be granted under all six schemes. The exercise price under Swarnam 51 and 61 will be the face value of the equity share (Rs. 5.0 each). This will represent a discount of ~99.4% to the prevailing market price. We do not favour ESOP schemes where options are granted at a significant discount (>20%) to market price as stock options are ‘pay at risk’ options that employees accept at the time of grant. We make an exception where the vesting of such options is mandatorily linked to performance parameters and the company has disclosed the pre-defined performance targets for such parameters. For Swarnam 51, vesting will be based on achievement of goals, targets or contingent on certain events. The Intellect Stock Option Plan Selection (ISOP) Committee and the Nomination and Remuneration and Compensation Committee (NRC) will determine the goals, targets and events. These performance conditions, along with the targets, have not been articulated in the shareholder notice. The vesting for Swarnam 61 will be determined by the NRC. Further, the amended ASOP is not available on the website. In the absence of clarity and the flexibility extended to the NRC, we do not support the resolution.

Governance Concern: No absolute cap on the total Options that can be granted to a single Employee. Transparency Concern: No clarity as to whether the Company intends to grant RSUs; ambiguity w.r.t. the Grant Price of RSUs.
    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted because: • The aggregate dilution pursuant to the proposed scheme is deemed high. • The scheme permits stock options to be issued with an exercise price at a discount to the current market price. • The company has not disclosed the performance metrics, targets and thresholds for vesting.
    • HDFC Mutual FundExercise price of the ESOP is at a significant discount to current market price. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. We do not support the resolution.

The exercise price under Swarnam 51 and 61 will be the face value of the equity share (Rs. 5.0 each). Even though company has not provided an absolute cap for grants to any individual employee, the company has stated a percentage cap which is 1% of issued share capital. The company has stated that for Swarnam 51, vesting will be based on achievement of goals, targets or contingent on certain events. However, the vesting for Swarnam 61 will be determined by the NRC. The company has not provided clarity on Swarnam 61. In the absence of clarity and the flexibility extended to the NRC, we do not support the resolution.
