Governance Concern: Past remuneration payments made on revised terms without specific approval of shareholders. Proposed remuneration terms also provides the Board with the discretionary powers to revise the remuneration terms.
- Invesco Mutual FundSunil Khanduja, 46, is the Managing Director of the company since 12 November 2024. He was appointed on the board as Director - Operations from 8 November 2023. He has been with the company since 2018 and with the Ingersoll Rand group since 2013. It is not clear from the notice if he is liable to retire by rotation. Nevertheless, we draw comfort given the recent SEBI LODR amendments which have built in sufficient guardrails and will need the company to seek periodic reappointment for his nomination after a five-year interval. He will be paid a fixed remuneration of Rs. 15.4 mn and is entitled for a maximum bonus of Rs. 8.1 mn - the company must disclose performance metrics that determine his bonus payout. Although we support his appointment as MD, we do not support his remuneration due to lack of clarity on stock options/RSUs from the holding company. According to the annual report, remuneration to executives include stock options/RSUs from the holding company. Given the lack of clarity or guidance on stock options, we are unable to reliably estimate the quantum of remuneration payable to him. Hence, we do not support the resolution. She has been on the board since September 2014. Post her resignation on 27 March 2019, the company appointed her as Independent Director in the AGM of 2019. We believe that to be truly Independent, she should have had a cooling off period i.e., complete detachment from the board for at least three years. Since Ms. Jayantika Dave did not complete the necessary cooling off period, we do not support her reappointment as Independent Director and count her entire tenure on the board of Ingersoll Rand (India).
