Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

How mutual funds voted

Fund houses must disclose how they vote at every meeting of a company they hold.

Mutual fund votes, meeting of 8 May 2026, 1 fund house

  • To consider and approve the introduction and implementation of “Indo Borax & Chemicals Limited Employees Stock Option Plan – ESOP 2026”
    Against Unifi Mutual Fund
    • Unifi Mutual FundThe company proposes to grant upto 1,688,950 options which will result in a dilution of ~5.0% on the expanded capital base. The vesting of options will be subject to continued employment and based on specific performance parameters as may be decided by the NRC from time to time. Based on disclosures, the exercise price shall be determined by the Nomination and Remuneration Committee (NRC) and it shall not be less than face value of the equity shares and shall not exceed the market price of the equity shares. We do not favour schemes where the exercise price is at a significant discount (>20%) to market price. ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the ESOPs are issued at significant discount to market price. If the stock options are granted at a significant discount, there is no alignment between the interests of investors and those of employees. We make an exception in cases where the vesting of such options is mandatorily linked to detailed performance parameters. We expect companies to provide granular clarity on performance criteria along with the associated targets, or a commitment to disclose such targets in the annual report after vesting. Given the lack of clarity on exercise price and performance parameters, we do not support the resolution.

  • To consider and approve the grant of Employee Stock Options equal to or exceeding 1% of the issued capital of the Company to the Identified Employees under “Indo Borax & Chemicals Limited Employee Stock Option Plan – ESOP 2026”MoreLess
    Against Unifi Mutual Fund
    • Unifi Mutual FundThe company seeks to grant employee stock options equal to or exceeding 1% of the issued share capital to identified employees. A quantum greater than 1% of the issued capital of the company is large and we do not encourage such open-ended resolution without a cap on the grant to a specific employee. Further, we do not favour such ESOP schemes where the distribution is skewed towards specific employees. We believe ESOPs should motivate and reward a broad base of employees rather than disproportionately benefiting a small group. Further, our view on resolution #2 is linked to our view on resolution #1. We do not support the resolution.

  • To make investments, give loans, guarantees and security in excess of limits specified under section 186 of the Companies Act, 2013
    Against Unifi Mutual Fund
    • Unifi Mutual FundAs on 31 March 2025 the company had made investments/granted loans of ~Rs. 0.7 bn (including investment/granted loans) under Section 186. However, the company should clearly disclose the extent of limits utilized under Section 186 for FY26 in the meeting notice. Further, this is an enabling approval, and it allows the company to give loans/ guarantees/ provide securities to any body corporate, including promoter-group companies. We believe the company must disclose granular details, including the names of the companies, the nature and size of their operations, and the terms of support, to enable shareholders to make an informed decision. Given the lack of clarity, we do not support the resolution.

  • Appointment Mr. Suresh Kalra (DIN: 02833715) as Managing Director and Chief Executive Officer of the Company
    Against Unifi Mutual Fund
    • Unifi Mutual FundSuresh Kalra, 52, is the former CEO and Whole‑time Director of Aquapharm Chemical Limited. He has over two decades of experience in the chemical and allied industries. Based on the proposed terms, we estimate his annual remuneration at Rs. 150.3 mn, including the fair value of ESOPs that may be granted during his tenure. The company currently does not have an ESOP scheme; however, he is eligible to receive ESOPs of up to 5% of the paid‑up share capital. The company should disclose the quantum of stock options proposed to be granted during his tenure. His estimated remuneration is excessive relative to the size of the business and is not aligned with peers. The company should assign absolute cap on his remuneration and disclose the performance metrics linked to variable pay. While we support his appointment, we are unable to support the resolution.

  • Appointment of Mr. Harsh Malhotra (DIN: 10785742) as Director of the Company
    Against Unifi Mutual Fund
    • Unifi Mutual FundHarsh Malhotra, 32, has around a decade of experience in high‑volume operations, supply chain management, and strategic capital allocation. He previously worked with Amazon as Senior Manager (Planning & Supply Chain), where he gained exposure to large‑scale operational systems and supply‑chain processes. He is currently active in the Indian business ecosystem as an investor and operator, focusing on building and supporting ventures. He holds a Master of Science in International Business from Ivey Business School and a Bachelor of Commerce from McGill University. While he is not liable to retire by rotation, we draw comfort from the SEBI LODR amendments, which have built in sufficient governance guardrails. However, while his appointment is in line with statutory requirements, he does not meet the minimum age requirement under our voting guidelines. We do not support the resolution.

We estimate Harsh Malhotra’s maximum annual remuneration at Rs. 13.2 million. The company should disclose the specific performance metrics used to determine his variable pay. However, the proposed remuneration is commensurate with the size and complexity of the business and in line with peers. As discussed under Resolution #3, we do not support his appointment as Director, as he does not meet the minimum age requirement under our voting guidelines. We also note that Sunil Malhotra, his father, is a member of the NRC, which presents an inherent conflict of interest. Given our concerns regarding his appointment, we do not support this resolution.
