    • Bank of India Mutual Fund, Invesco Mutual Fund, Jio BlackRock Mutual Fund, Sundaram Mutual FundWe have relied upon the auditors’ report, which has raised an Emphasis of Matter regarding the bank’s investment in Saptagiri Grameena Bank (SGB). Pursuant to the amalgamation of SGB with Andhra Pradesh Grameena Bank effective 1 May 2025, the bank received Rs. 62.2 mn towards the face value of its investment in the equity shares of SGB. The difference of Rs. 7.7 bn between the carrying value of the investment and the amount received has been recognized as an exceptional item in the consolidated results. Based on the auditors’ report, which is unqualified, the financial statements are in accordance with generally accepted accounting policies and Indian Accounting Standards (IND-AS). Typical of public sector banks, Indian Bank has five joint auditors. The audit committee must provide clarity on how it establishes accountability of these auditors and ensures that issues do not fall through the cracks, while allocating audit responsibilities. Further, we raise concern that the bank has not constituted an audit committee in line with SEBI’s LODR regulations and does not have sufficient independent directors on the board. In the absence of critical oversight provided by the audit committee, we are unable to support the resolution.

He is a 1994 batch officer of the Indian Postal Service. He has over 29 years of experience and has handled various positions in the Government of India. He has completed his Bachelors in Mechanical Engineering from NIT Allahabad and FPM (Doctorate) from IIM Bangalore. The bank proposes to appoint him as a Non-Executive Non-Independent Nominee Director. He will represent the Government of India’s 73.84% stake in the bank (as on 31 March 2024). It is unclear if he is liable to retire by rotation. However, we understand that the recent SEBI LODR amendments build in sufficient guardrails and will need the bank to seek reappointment for his nomination to the board after a five-year interval. Further, the board composition is not compliant with regulations on independent director representation. We expect the bank to first address the board composition, before appointing their nominees on the board. We do not support his appointment on the board
