Vide its letter dated October 26, 2009 that the Board of Directors of the Company at their just concluded meeting has inter-alia approved and adopted the Audited Financial Results (Consolidated and Standalone basis) for the financial year ended March 31, 2009, pursuant to giving effect of the following court approved Scheme of Arrangement. (i) Scheme of Arrangement - Financial Restructuring seeking adjustment of non compete fee amounting to Rs. 5439.75 million paid to the erstwhile promoters of Spice Communications Limited against balance in Securities Premium Account of Idea Cellular Limited u/s 391 of the Companies Act, 1956; and (ii) Scheme of Arrangement - Demerger of Passive Infrastructure of the Company to its wholly owned subsidiary Idea Cellular Towers Infrastructure Limited u/s 391-394 of the Companies Act, 1956. This is to clarify in this regard that other than the effect of the above referred schemes and the resulting deferred taxation effect arising thereof, the changes in the consolidation audited financial results of the Company viz-a-viz un-audited Financial Results of the Company adopted earlier are inconsequential.
