An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • To Appoint Shri Ketan Vikamsey (DIN: 00282877) as Independent Director on the Board of the Bank for a period of two (2) years w.e.f. June 26, 2026

  • To Re-appoint Shri Jayakumar S. Pillai (DIN: 10041362) as Deputy Managing Director of the Bank for a periof of One (1) year w.e.f. June 12, 2026
Against Angel One Mutual Fund, DSP Mutual Fund, Edelweiss Mutual Fund, Jio BlackRock Mutual Fund, Navi Mutual Fund
    • Angel One Mutual FundGovernance and Transparency concern: Inadequate disclosure regarding proposed remuneration and authorize the Nomination & Remuneration Committees and the Board to determine the remuneration.
    • DSP Mutual Fund, Jio BlackRock Mutual FundJayakumar S. Pillai, 61, is Deputy Managing Director. He leads the bank’s Corporate Business vertical and oversees several critical functions including the Large and Mid-Corporate Group, NPA Management Group, Transaction Banking Group, etc. He also has administrative oversight over the Compliance and Risk Department. He has served on the board since 12 June 2023. He attended all 14 board meetings in FY26 (100%). As per the previously approved terms, Jayakumar S. Pillai received a remuneration of Rs. 35.7 mn in FY25. For FY26, he received a fixed remuneration of Rs 13.8 mn. We note that the variable pay for FY26 is yet to be approved by the RBI. Based on RBI guidelines, we estimate his total remuneration for FY26 to be in the range of Rs. 41.4 mn – Rs. 55.2 mn. We raise concern that the bank has not provided any guidance with regards to the remuneration for the proposed tenure from 12 June 2026. This remuneration is to be decided by the NRC and then approved by the board and RBI. We expect the bank to disclose all components of proposed remuneration, both fixed and variable and the performance metrics that determine variable pay. Given the lack of clarity in the proposed terms for FY27 and the fact the proposed term commences in FY27, we are unable to determine his overall remuneration for the proposed tenure. While we support his reappointment as Deputy Managing Director, we are unable to ascertain the remuneration. We do not support this resolution.
    • Edelweiss Mutual Fund, Navi Mutual FundCompliant with law. Governance and Transparency concern: Inadequate disclosure regarding proposed remuneration and authorize the NRC and the Board to determine the remuneration.

We expect directors to attend all board meetings during the year, and we have a threshold of 75% attendance of the board meetings in the three years prior to re-appointment.
