An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against Motilal Oswal Mutual Fund
    • Motilal Oswal Mutual FundNo governance concern has been identified as far as the scheme is concerned, however, concern with the resolution is identified purely on account of the Company’s attempt to discourage shareholder participation by not providing e-Voting facility. Non-provision of e-Voting facility does not meet the regulatory requirement of Regulation 44(1) of SEBI LODR and SEBI Master circular on Scheme of Arrangement, which mandates e-Voting facility to shareholders.

    • Taurus Mutual FundNand Gopal Khaitan (NG Khaitan), 73, is a practicing attorney, advocate and notary. He is a Senior Partner at Khaitan & Co and has been on the board of Hindware Home Innovation Limited (HHIL) since 14 September 2019. He is an Independent Director on the board of six listed companies (including HHIL). Given their full-time responsibilities, regulations allow whole-time directors of listed companies to be independent directors on a maximum of three listed companies. We believe that as Senior Partner at Khaitan & Co., his responsibilities are equivalent to a whole-time directorship and his high number of directorships on listed companies is not in keeping with the spirit of the regulation. Further, he has been on the board of AGI Greenpac Limited, a group company, since 1996. We consider his overall association (28 years) with the group as his tenure. We consider directors to be non-independent once they cross a tenure of ten years from the date of their first appointment. We note that HHIL has paid consultancy fees of Rs. 0.034 mn in FY22 and 0.15 mn in FY21 to Khaitan & Co. LLP – it is unclear if they still have a business relationship with the company. Given the business linkage between Hindware home innovation and Khaitan & Co. LLP, we consider Nand Gopal Khaitan to be Non-Independent. We are unable to support the resolution.

He was appointed as additional director on 14 September 2019. He was on the board of AGI Greenpac Limited, a group company, for eight years from May 2012. On 2 April 2020, he resigned from the board of AGI Greenpac Limited due to his appointment on the board of Hindware Home Innovation Limited. We consider his overall association (12 years) with the group as his tenure. Therefore, given his association of over 10 years with the promoter group, we do not support his reappointment as an independent director as we believe that this is not in line with the spirit of the regulations. We do not support his reappointment.

    • Taurus Mutual FundAshok Jaipuria, 70, is Chairperson and Managing Director of Cosmo First Limited, involved in making films with applications in packaging, labels and lamination. He has been on the board since 14 September 2019. He has served on the board of AGI Greenpac Limited, a group company, for 20 years from May 2004. On 27 May 2020, he resigned from the board of AGI Greenpac Limited due to his appointment on the board of Hindware Home Innovation Limited. We consider his total association (20 years) with the group as his tenure. Through this resolution, the company also seeks his continuation on the board once he attains 75 years of age during his tenure: we do not consider age to be a criterion for board memberships. However, given his association with the promoter group of over ten years, we do not support his reappointment as an independent director as we believe that this is not in line with the spirit of the regulations. We do not support his reappointment.
