An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Mutual fund votes, meeting of 5 Mar 2024, 31 fund houses

Each resolution counts the houses whose vote was matched to it; the rest are listed last.

  • Introduction and Implementation of ‘Hindustan Unilever Limited Performance Share Plan Scheme 2024’
Against 360 One Mutual Fund, Axis Mutual Fund, Bajaj Finserv Mutual Fund, Bandhan Mutual Fund, Bank of India Mutual Fund, DSP Mutual Fund, Groww Mutual Fund, HDFC Mutual Fund, HSBC Mutual Fund, Invesco Mutual Fund, Kotak Mahindra Mutual Fund, Motilal Oswal Mutual Fund, Nippon India Mutual Fund, NJ Mutual Fund, PGIM India Mutual Fund, PPFAS Mutual Fund, Quantum Mutual Fund, Sundaram Mutual Fund, Zerodha Mutual Fund
    • 360 One Mutual Fund, Bajaj Finserv Mutual Fund, Bandhan Mutual Fund, Groww Mutual Fund, Motilal Oswal Mutual Fund, PGIM India Mutual Fund, Zerodha Mutual FundNon-compliant with SEBI (SBEB & SE) Regulations, 2021: In adequate Disclosure of exercise price/Pricing Formula.
    • Axis Mutual Fund, Bank of India Mutual Fund, DSP Mutual Fund, Sundaram Mutual FundUnder the scheme, the company proposes to grant upto 2.0 mn options to eligible employees (dilution of ~0.08% on the expandable capital base). The exercise price will be the face value of shares or such higher value as determined by the NRC. The vesting may be time based and/or performance based and the NRC may prescribe performance criteria for vesting such as market capitalization, revenue, EBITDA, return on capital employed, underlying sales growth, free-cash flow, underlying operating profit, market share etc.We recognize that the company is migrating from payment of 100% share-based compensation from the parent entity to 62% of the share-based compensation from the parent entity and 38% from Hindustan Unilever, which is a good practice. However, it is unclear whether all the options will vest based on satisfaction of performance criteria. We generally do not favour ESOP schemes where options are granted at a discount of more than 20% to the market price, unless the options have performance based vesting conditions which have clearly been disclosed. ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the ESOPs are issued at significant discount to the market price. If the stock options are granted at a significant discount, there is no alignment between the interests of investors and those of employees.
    • HDFC Mutual FundESOPs are being granted at a discount to market price
    • HSBC Mutual FundA vote AGAINST these resolutions is warranted because: • There is no disclosure on the performance targets and threshold for vesting at different levels of performance. • The rationale for only a partial substitution of the long-term incentive scheme with the proposed scheme is unclear.
    • Invesco Mutual FundUnder the scheme, the company proposes to grant upto 2.0 mn options to eligible employees (dilution of ~0.08% on the expandable capital base). The exercise price will be the face value of shares or such higher value as determined by the NRC. • Kotak Mahindra Mutual FundWhile company has provided details regarding quantum, vesting and impact on remuneration, they clarified that ESOP s are being issued at face value of Rs 1. As a policy, we don t encourage ESOP s to be issued at face value and hence voting against the resolution.
