An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against Bandhan Mutual Fund
    • Bandhan Mutual FundDr. Sachin D. Patel, 50, part of the promoter group, has been on the board since 2008, in a non-independent capacity. The company proposes to redesignate him to Managing Director. During FY25, he attended all seven board meetings. He also serves as Managing Director & CEO - Themis Medicare Limited (TML) – a group company. Given his role and responsibilities in both companies requires him to devote time to the affairs of both GTBL and TML he will draw remuneration from both. His remuneration from TML for FY25 was Rs. 16.4 mn. His proposed remuneration as Managing Director - GTBL comprises fixed pay ranging between Rs. 12.0 mn to 18.0 mn annually and commission as determined by NRC. Given the lack of clarity on commission , we are unable to ascertain his remuneration . The company must put an absolute cap on commission and disclose performance metrics basis which commission will be paid. We do not support the resolution.
