Outcome of Annual General Meeting held on September 28, 2016 Resolution No. Resolutions 1. a) Adoption of the Audited Financial Statements for the financial year ended March 31, 2016, Report of the Board of Directors and Auditors thereon. b) Adoption of the Consolidated Financial Statements of the Company for the financial year ended March 31, 2016 and the report of the Auditors thereon. 2. Re-appointment of Mr. Vijay Kumar, a Director retiring by rotation. 3. Appointment of Auditors and fixing their remuneration. Special Business 4. Appointment of Mr. Prakash Chandra Kapoor as a Whole-time Director of the Company (by virtue of his appointment as Chief Executive Officer of the Company). 5. Reclassification of Authorized Share Capital of the Company. 6. To authorize the Board of Directors of the Company to determine the fee to be charged from a member for delivery of any documents through a particular mode. The voting results on the aforesaid resolutions will be declared and communicated to the Stock Exchanges, subsequent to receipt of the Scrutinizer s Report. The same shall also be placed on the Company s website and also on the website of CDSL (the agency from which e-voting facility had been availed).
