An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against ICICI Prudential Mutual Fund
    • ICICI Prudential Mutual FundSamir S. Somaiya, 58, is part of the promoter group and serves as Chairperson and Managing Director. He was first appointed to the board on 22 July 2007. He received a remuneration of Rs. 39.5 mn for FY26 – which is high at 12.1% of standalone PBT. His estimated proposed remuneration is Rs. 49.8 mn for FY28. His proposed remuneration structure includes commission of up to 2% of net profits, which has no absolute cap. The AMC notes that proposed perquisites include medical reimbursement for self and family, which is different from the terms extended to other professionals. The AMC believes such expenses are personal in nature and must be borne by the directors themselves. The AMC also raises a concern that aggregate FY26 executive remuneration is high at Rs. 64.5 mn- which is 19.7% of standalone PBT for FY26. Further, the company has not disclosed performance metrics linked to variable pay. While the AMC supports his reappointment as Managing Director, given the concerns on his remuneration structure, the AMC has voted against the resolution.

    • Bank of India Mutual FundThe company proposes to contribute an amount exceeding 5% of net profit, subject to a maximum of Rs. 22.5 mn in any financial year. For FY25, the average net profits of the company for the three immediately preceding financial years is Rs. 208.2 mn: 5% of net profit is Rs. 10.4 mn. Thus, proposed contribution is Rs. 22.5 mn is high. There are no details regarding the beneficiaries of the contributions. The company donated Rs. 17.5 mn over and above the CSR spends of Rs. 4.7 mn in FY25. We believe the companies should make charitable contributions within the 2% limit prescribed under regulations. Alternatively, the company should consider paying this as dividend and let its shareholders make charitable donations if they desire. We note that due to the loss incurred during FY25, the company did not pay any dividend to the shareholders. Further, the resolution seeks shareholder approval in perpetuity – a practice we do not support. Therefore, we do not support the resolution.
    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted given the lack of further information on the proposed donation.
