An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Angel One Mutual Fund, Bajaj Finserv Mutual Fund, DSP Mutual Fund, Edelweiss Mutual Fund, Jio BlackRock Mutual Fund, LIC Mutual Fund, Navi Mutual Fund, Old Bridge Mutual Fund
    • Angel One Mutual FundGovernance Concern: Low Board Meeting attendance since his appointment i.e. w.e.f. 1st August, 2024.
    • Bajaj Finserv Mutual FundThe company is seeking shareholders' approval for the re-appointment of Mr. Philippe Pascal as a director liable to retire by rotation. He was originally appointed to the board on 1 August 2024 and is currently the Chairman and Chief Executive Officer of Aéroports de Paris. He holds a Master's degree in Public Law and has significant experience in public administration, finance, audit and management. He is categorised as a non-executive director affiliated to the promoter group by virtue of his position as Chairman of the promoter entity and he does not hold any shares in the company. The disclosed profile indicates that he has substantial international experience in airport operations and management. His current external commitments are limited and his directorships and committee positions remain within prescribed regulatory limits. No concerns have been identified with respect to qualifications, expertise, independence of judgement or statutory eligibility for continuing on the board. However, the attendance record raises concerns regarding the level of engagement with the affairs of the company. During FY 2025-26, he attended only three out of six board meetings, representing attendance of 50%. Since his appointment on 1 August 2024, he has attended only four out of nine board meetings, resulting in aggregate attendance of 44%. These attendance levels indicate limited participation in board deliberations during his tenure. The board attendance details are illustrated in the meeting attendance summary contained in the report. The company had also appointed an alternate director for him from the date of his original appointment. The alternate director attended only one of three meetings during FY 2024-25 and subsequently resigned on 16 December 2025 citing personal reasons. The existence of an alternate director from the outset suggests that limitations on his ability to participate regularly in board proceedings may have been anticipated. Despite this arrangement, attendance at board meetings has remained low. Directors have an important responsibility to devote sufficient time and attention to the affairs of the company. Regular participation in board meetings is one of the key indicators of a director's effectiveness in discharging fiduciary duties, contributing to strategic decision-making and exercising oversight of management. In this case, the disclosed attendance record indicates that participation has been materially below expected governance standards. Furthermore, no adequate explanation has been provided for the absences from the meetings. The discussion of this concern is elaborated in the report's analysis of director performance. While no concerns have been identified regarding the director's professional profile, qualifications or statutory compliance, the consistently low attendance at board meetings raises a governance concern regarding his ability to devote sufficient time to the affairs of the company. Accordingly, we are voting against the resolution.
    • DSP Mutual Fund, Jio BlackRock Mutual FundPhilippe Pascal, 54, is Executive Director – Finance, Strategy and Administration of Aéroports de Paris S.A., the promoter and nominee of Aéroports de Paris S.A. on the board since August 2024. Aéroports de Paris SA holds 26.46% of the company’s equity stake as on 30 June 2026. He attended three of the six board meetings (50%) held in FY26 and one of the three meetings (33%) held in FY25 since his appointment. Overall, he has attended four of the nine board meetings (44%) since joining the board. We expect directors to attend all board meetings: we have a threshold of 75% attendance at board meetings in the year of and three years prior to re-appointment. While his reappointment is in line with statutory regulations, we are unable to support the reappointment given his low attendance. We do not support the resolution.
    • Edelweiss Mutual Fund, LIC Mutual Fund, Navi Mutual Fund, Old Bridge Mutual FundCompliant with law. Governance Concern: Low Board Meeting attendance since his appointment i.e. w.e.f. 1st August, 2024.

    • Bajaj Finserv Mutual FundCompliant with law. Governance Concern: The disclosure regarding the basis of arriving at the pricing of the transactions is a material disclosure for shareholders. It should form part of the disclosures unless the transactions are of a nature wherein basis of pricing cannot be determined. Despite the price being negotiated between Joint Venture partners and is in the best interest of the company, Company should disclose the “basis of arriving at the value of proposed consideration” to the shareholders to enable the shareholders to understand whether the pricing has been determined in a fair and transparent manner. Company has not disclosed the Basis for Arm’s length pricing. Hence, we are voting against the resolution.

    Against SBI Mutual Fund
    • SBI Mutual FundGrandhi Kiran Kumar, 48, is currently the Managing Director and Chief Executive Officer of the company. He has been on the board of the company since 1999. In FY23, He was paid an aggregate remuneration of Rs. 69.7 mn from GMR Airports Infrastructure Limited and GMR Airports Limited (which has now been amalgamated into GMR Airports Infrastructure Limited). The company states that they have undertaken a benchmarking exercise, based on which the company proposes to revise his remuneration. We estimate Grandhi Kiran Kumar's remuneration for FY25 at Rs. 71.5 mn comprising variable pay capped at Rs. 21.5 mn which is low at 28% of overall remuneration. Considering the company's financial losses over the years and negative networth, we believe that the variable pay should constitute more than 50% of the overall remuneration and be directly linked to company performance, with clearly defined performance metrics. Further, he is entitled to a fixed increase of 10% on his pay, year on year, regardless of company performance. The notice also states that the remuneration to be paid will be in addition to remuneration drawn from any other company – therefore, it is unclear if he will draw remuneration from any other company during the tenure. Given these reasons, while we support his reappointment as MD and CEO, we do not support the remuneration structure. Therefore, we are unable to support the resolution.

    • SBI Mutual FundIndana Prabhakar Rao is also the Executive Director, Delhi International Airport Limited (DIAL), a 64% subsidiary. We estimate the fixed component of his remuneration from GMR Airports Infrastructure Ltd and DIAL at Rs. 45.0 mn. His remuneration terms from the company and DIAL, both, include a variable component (performance linked incentive plan): the payout of which will be determined in accordance with the HR policy. In the absence of guidance or a past track record, we are unable to reliably estimate the performance linked incentive. Given the open-ended nature of variable compensation from the company and subsidiary we are unable to estimate the overall remuneration. We expect the company to cap his variable pay in absolute amounts and disclose the performance parameters that will be used to determine his variable payout. Further, while the current fixed remuneration from DIAL is Rs. 30.2 mn, it is unclear if it is likely to remain at the same level or increase, through his tenure. Therefore, given the open-ended nature of his remuneration terms, we do not support the resolution even while we support his appointment as Deputy Managing Director.

• 1) Approve scheme of arrangement for amalgamation of GMR Airports Ltd (GAL) with GMR Infra Developers Ltd (GIDL) and subsequent amalgamation of GIDL into GMR Airports Infrastructure Ltd (GIL).
    Against SBI Mutual Fund
    • SBI Mutual FundUnder the scheme, GAL, a 55% subsidiary of GIL will get amalgamated with GIDL, a wholly owned subsidiary. Subsequently, GIDL will get amalgamated GIL (the listed entity) and will be renamed GMR Airports Ltd. As a result of this scheme, Aeroports de Paris (ADP) will receive equity shares and Optionally Convertible Redeemable Preference Shares (OCRPS) in GIL. On a fully converted basis ADP will hold 43.5% stake in GIL (excluding dilution on conversion of FCCBs earlier issued to ADP) and be classified as a promoter. The valuation broadly seems fair and we recognize that the merger will result in streamlining the structure and lead to the expansion and long-term sustainable growth of each company’s business. However, the scheme also envisages adoption of a new set of Articles of Association (AoA) which allows the GMR group and ADP Group to nominate five non-independent and nominate/recommend five independent directors each, so long as they each hold 10% stake in the company. We do not favor board nomination rights that are disproportionate to the investor’s shareholding in the company. Also, we believe that this article restricts the power of the NRC in the selection of Directors to the board. The AoA also requires the presence/consent of one nominee director from each promoter group in case of reserved matters to be considered at board and shareholder meetings. We do not support quorum related rights to promoters. While we support the scheme of arrangement, we are unable to support the resolution because of the inclusion of certain special rights in the AoA forming a part of the scheme.

    • HDFC Mutual FundThe articles gives disproportionate rights to GMR Group and ADP Group
    • Invesco Mutual FundUnder the scheme, GAL, a 55% subsidiary of GIL will get amalgamated with GIDL, a wholly owned subsidiary. Subsequently, GIDL will get amalgamated GIL (the listed entity) and will be renamed as GMR Airports Ltd. While we support the scheme of arrangement, we are unable to support the resolution because of the inclusion of certain special rights in the AoA forming a part of the scheme.
