An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

- To appoint Mr. Sandeep Jain (DIN: 11696540) as an Independent Director of the Company
Against Quantum Mutual Fund
- Quantum Mutual FundWe do not have any concern on the profile, time commitment, and independence of Mr. Sandeep Jain. However, the said appointment is only for a period of 1 year. We are of the view that, Independent Director appointed for such short period go against the intent of the law. A 1-year time period is too short for an ID to make any significant contribution towards the affairs of the Company. The company has also not provided justification for appointment for such limited period. Therefore, We do not favour the resolution.

- To appoint a director in place of Mr. Ishwar Chand Agarwal (DIN: 00011152), who retires from office by rotation, and being eligible, offers himself for re-appointment
Against Nippon India Mutual Fund, Quantum Mutual Fund
- Nippon India Mutual FundGovernance Concern: Holds combined position of Executive Director & Board Chairperson; Low attendance at Board meetings and no justification for leave of absence.
- Quantum Mutual FundDuring the financial year 2025, Ishwar Chand Agarwal attended only 50% of the board meetings (3 out of 6), and his attendance over the last three years stands at 60% (12 out of 20). This falls short of our expectation that directors should attend all board meetings and meet at least a 75% attendance rate over a three-year period before being considered for reappointment. As a result, we do not favour the resolution.

Against Franklin Templeton Mutual Fund, Nippon India Mutual Fund
- Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted in view of the following concerns in the executives' remuneration: • There are no disclosures on the performance metrics and (threshold and target) performance that the executives need to achieve based on which payouts under commission element will be made. • Their estimated remuneration is aggressively positioned when compared to peers with similar size and scale of business operations.
- Nippon India Mutual FundGovernance Concern: No absolute cap on the proposed commission.

1 for2 against - To approve annual remuneration payable to single Non-Executive Director, exceeding fifty percent (50%) of the total annual remuneration payable to all non-executive directors
Against Bajaj Finserv Mutual Fund
- Bajaj Finserv Mutual Fund• It may be noted that SES in its PA Report for AGM 2023 had discussed in detail that quantum of fixed remuneration payable to all 3 ED/ MD was on the higher side when considering the performance of the Company. • During FY 2023-24, the total remuneration paid to 3 EDs of the Company constituted ~12.96% of the Net Profit of the Company. The Company has further proposed to increase the remuneration by way of payment commission. • The Company has linked the commission payable to EDs/ MD with the Net profit of the Company and has placed an absolute cap. However, since the commission is over and above the fixed remuneration already approved, the proposed remuneration for EDs / MD appears excessive, given the performance of the Company. Clubbed resolution and Executive Chairman: • Mr. Ishwar Chand Agarwal is the Executive Chairman of the Company. • Although, there is no legal bar on the Chairman of the Company from holding Executive position, however, SES is of the view that as a good governance practice the Company should have separated the position of chairman from the executive position as holding such positions by any person may lead to concentration of powers in the hands of single person. • Corporate democracy and management structure envisage three layers, at the top is General Body of shareholders, which guides and approves proposal of the Board, second in line is the Board, which is directed by General body, AoA and MoA and which sets agenda for Management. The Board is headed by Chairman. The Management which is at the bottom of pyramid is headed by Executive/Managing Director(s), who are responsible for day to day management and operational issues. Combining the position of Chairman with executive positions blurs the demarcation between Board and Management. • Therefore, SES is of the opinion that the Company should segregate the position of Chairman from Executive position. Since, SES has concern in appointment of Mr. Ishwar Chand Agarwal as Executive Chairman, SES also has concern in his remuneration. • Since the Company has proposed clubbed resolution for all three EDs, SES is raising concern for clubbed resolution. In view of the above, SES is raising concern in the proposed resolution.

- Quantum Mutual FundThe company has stated that it may have to render support for the principal business activities of its subsidiary company or associate or joint venture or group entity or any other person in whom any of the Director of the company is interested, from time to time. The enabling nature of approval could allow the company to give loans / guarantees / provide securities to any company in which directors are interested, including promoter companies. The company must disclose granular details including names of these companies, the nature and size of their operations and terms of support, to enable shareholders to make an informed decision. How money raised was used
Reported for the quarter to Sep 2025. The company's results filing for the quarter to Jun 2026 says no statement of how money raised was used applies to it. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far.
