Exchange had sought clarification from Garden Silk Mills Limited with respect to announcement dated 25-Oct-2016, regarding "Garden Silk Mills Limited has informed the Exchange regarding outcome of meeting of the Board of Directors of the Company held on October 25, 2016.".The Company has clarified as below'This is in reply to your email communication dated 26th October, 2016 on the subject clarification to our announcement made as outcome of Board meeting held on 25th October, 2016. In that connection we clarify as under: 1. Names of the investors Promoter/Promoter Group entity - Surat Textile Mills Limited2. The Company proposes to issue convertible warrants in favour of promoters / promoter group of the Company for an aggregate amount of Rs.30 crore to be convertible at the option of warrant holder in one or more tranches within 18 months from the date of allotment, into equivalent number of fully paid up equity shares of the Company of face value of Rs.10 each in accordance with SEBI (ICDR) Regulations 2009, as amended up to date. Other details of the issue of warrants will be published in the Postal Ballot notice, as required under Chapter VII of SEBI (ICDR) Regulations and in accordance with the applicable provisions of the Companies Act, 2013'.26 Oct · Legal

Exchange has sought clarification from Garden Silk Mills Limited with respect to announcement dated 14-Sep-2016, regarding "Garden Silk Mills Limited has informed the Exchange that as per the audited financial statements of the Company for the year ended March 31, 2016 adopted by the shareholders at the Annual General Meeting held on September 14, 2016, the accumulated losses of the Company have exceeded the Company s net worth. Accordingly the Company has become a Sick Industrial Company within the meaning of Section 3(1)(o) of Sick Industrial Company (Special Provisions) Act, 1985 (SICA) at the end of the financial year ended March 31, 2016. Consequently the Board of Directors of the Company at its meeting held on September 14, 2016, confirmed the erosion of net worth and approved that a reference under Section 15(1) of the said act would be made to the Board for Industrial and Financial Reconstruction (BIFR) under prescribed Form A for determination of the measures which shall be adopted by the Company for revival of sickness.".On basis of above the Company is required to clarify following:1. Impact of such reference/petition on listed entity.The response of the Company is awaited.
