Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Against Bandhan Mutual Fund
    • Bandhan Mutual Fund"The company proposes to amend their ESOP Scheme 2021 to increase the maximum vesting period from four years to seven years, while not changing the minimum vesting period of one year. The company also proposes to change the exercise period from a fixed period of two years from the date of vesting to allow the NRC to presribe a longer period on a case-to-case basis. The amendmnets w.r.t. the change in vesting period will only be applicable to only future grants whereas the change in exercise period will be applicable to existing grants as well as future grants. We understand that these amendments are in line with statutory requirements. However, we raise concern regardign the contours of the ESOP 2021 scheme. The scheme prescribes an exercise price at the discretion of the NRC while carrying time-based vesting. We believe this scheme does not align with the interests of the minority investors, given the potential for grants at a large discount to market price. Since we do not support this scheme, we do not support these amendments. We do not support this resolution."

    Against Bandhan Mutual Fund
    • Bandhan Mutual FundThe company has stated that to fund its expansion plans and to fulfill future loan disbursements, the current borrowing limit of Rs. 10.0 bn may be inadequate given the company’s growing operations and other needs. The company’s borrowing as on 31 March 2025 stood at Rs. 114.1 mn. We recognize that the company may require funds for business expansion. Even so, we believe that there is sufficient headroom available under the current approved limit of Rs. 10.0 bn. At Rs. 50.0 bn over and above the current networth of the company, the proposed borrowing limit is 4x the net worth as on 31 March 2025: which is high. Further, the proposed limit is structured as a rolling limit linked to the company’s net worth; we do not support such rolling limits. The company must seek approval for an absolute limit. We do not support this resolution.

How money raised was used

Reported for the quarter to Sep 2026. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far.
