Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against SBI Mutual Fund
    • SBI Mutual FundApoorva Kumat, 56, is promoter and Executive Director – Operations, Prataap Snacks Ltd. He has been associated with the company since 2 November 2018. SBIMF’s internal proxy voting guidelines do not allow us to vote in favour of promoter directors’ appointment/re-appointment if the board is not 50% independent both in number and spirit. We observe that there are 6 Board of Directors (BODs), out of which 3 are classified as independent directors and out of which 1 ID is long tenured, due to long association with the group company. Hence, the effective independence is assessed at 33%. We wish to clarify that we do not have any doubt about the competency of the directors. Our only concern is <50% independence on the board. We do not support the resolution.

Subsequently, in July 2019 he was appointed as Independent Director of the company. We do not support his reappointment given that he has been on the board since May 2011 and there has been no cooling-off period between his various roles on the board. Hence, we cannot support the resolution.

  • Payment of remuneration to Non-executive Directors including Independent Directors of the Company
Against Kotak Mahindra Mutual Fund, SBI Mutual Fund
    • Kotak Mahindra Mutual FundThe company has mentioned that the remuneration would not exceed 1% percent of the Net Profit of the Company for the relevant financial year as specified under Section 197 of the Act. Though compliant with law, the company has not mentioned the time period for remuneration it seems to be until perpetuity. Such perpetual terms are not shareholder friendly in nature and are against the spirit of law, hence voting against.
    • SBI Mutual FundThe company had sought shareholder approval in 2019 for payment of commission to its Non-Executive Directors (including Independent Directors) up to 1% of net profits for five years from 1 April 2018. The approval was valid till 31 March 2023; the company now seeks a similar approval for paying commission from 1 April 2023. The company paid commission to its Independent directors in the range of Rs. 0.45 mn – Rs. 0.50 mn per annum in last four years; no commission was paid to non-executive non-independent directors. The proposed commission is in line with the statutory regulations and is a compensation for the time and effort invested by the non-executive directors in the company. However, the company has not defined a tenure for validity of the resolution and thus, the resolution is effectively valid in perpetuity. We believe shareholders must get a chance to periodically approve such payments and therefore do not support the resolution. We believe the company should have capped the commission in absolute terms.
