Exchange has sought clarification from Dewan Housing Finance Corporation Limited with respect to announcement dated 18-Dec-2018, regarding " Dewan Housing Finance Corporation Limited has informed the Exchange regarding Board meeting held on December 18, 2018." The reply of the Company:As per the provisions of Section 42 of the Companies Act, 2013, read with the rules made thereunder ( the Act), the Board of Directors of the Company at its meeting held on 21st November, 2018 had approved issuance on a private placement basis of (i) Non-Convertible Secured/Unsecured Redeemable Debentures, upto an amount Rs. 10,000 crore (Rupees Ten Thousand Crore only); (ii) Non-Convertible Subordinated Unsecured Debentures, upto an amount of Rs. 1,000 crore (Rupees One Thousand Crore only); and (iii) Non-Convertible Perpetual Unsecured Debentures, upto an amount of Rs. 1,000 crore (Rupees One Thousand Crore only) pursuant to the authority entrusted upon the Board of Directors and within the limits as approved by the Members of the Company vide special resolution passed at the 34th Annual General Meeting held on Wednesday, 27th June, 2018, depending on the prevailing market conditions and business requirements of the Company. Exchange had sought clarification from the Company with respect to news item captioned "DHFL Vysya, Aadhar Housing merger soon ". In this regard, the Company informed the Exchange that Aadhar Housing Finance Ltd (Aadhar housing) and DHFL Vysya Housing Finance Limited (DHFL Vysya) are subsidiaries of Wadhawan Global Capital Private Limited and DHFL holds only 12.37% in Aadhar Housing and 9.47% in DHFL Vysya.In terms of the regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Aadhar Housing had made requisite disclosures with regard to merger of Aadhar Housing and DHFL Vysya and submitted to the stock exchange, where its Debt instruments are listed.Since DHFL holds marginal shareholding in these companies and was not considered as material event, this was not intimated by the Company to the stock exchanges, pursuant to the provisions of regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations.7 Jun · Legal

Spurt in Volume : Substantial increase in trading volumes have been observed in Dewan Housing Finance Corporation Limited. The Exchange, in order to ensure that investors have latest relevant information about the company and to inform the market place so that the interest of the investors is safeguarded, had written to the company. Dewan Housing Finance Corporation Limited has vide its letter inter-alia stated, "We had informed the exchanges vide our letter dated 25th July, 2013, that the Company had executed definitive agreements for acquiring 50% equity stake from DLF Ltd., in DLF Pramerica Life Insurance Company Ltd. (DPLI), subject to receipt of requisite regulatory approvals from National Housing Bank (NHB) and Insurance Regulatory and Development Authority (IRDA). Further upon receipt of the said approvals, the Company had on 18th December, 2013 duly informed the exchanges about the closing of the said transaction. Copies of the aforesaid letters are attached herewith for your perusal.
