An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • Ratification of DEE Employee Stock Option Plan 2023 ( DEE ESOP 2023 / Plan ).
Against Aditya Birla Sun Life Mutual Fund, HDFC Mutual Fund, Kotak Mahindra Mutual Fund
    • Aditya Birla Sun Life Mutual FundUnder ESOP 2023, the company proposes to issue 2,651,957 stock options (2,235,037 options yet to be granted as on 22 June 2024) to employees which will result in a dilution of ~4.8% on the expanded capital base. The scheme will be implemented via fresh issuance of shares. The vesting of options is either time based, or performance based (performance metrics have not been disclosed) as decided by the Nomination and Remuneration Committee (NRC). The Exercise Price shall be lower of - average market Price of last six months or closing market price of the shares before the date of the grant with discount of upto 50%. Further, the exercise price shall be at the discretion of NRC and can be as low as the face value.ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the ESOPs are issued at significant discount to market price. We note that in the past the company has granted stock options at an exercise price equal to the face value per share. If the stock options are granted at a significant discount (>20%), there is no alignment between the interests of investors and those of employees. We believe as a good practice companies should grant stock options at market price, or the options should have a performance-based vesting with clearly defined performance metrics. We do not support the resolution.
    • HDFC Mutual FundESOPs/RSUs are granted at a significant discount to market price
    • Kotak Mahindra Mutual FundThe Company has not provided clarity on the exercise price or the exercise formula of proposed ESOP in the Explanatory Statement. The company has mentioned that the ESOP shall be granted up to a discount of 50%. We do not favour ESOP schemes where the options can be granted at a significant discount to the market price. Hence voting against.
