An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

- DSP Mutual Fund, Jio BlackRock Mutual FundTara A. Shriram, daughter of Ajit Shriram, Joint Managing Director is the CSR Manager. She oversees monitoring, evaluation, impact assessments, needs analyses, MIS reporting, and DCM Shriram Foundation's social media and IEC content. She has been associated with the company since 2022. Her proposed remuneration is capped at Rs. 10.0 mn and is performance-linked and staggered. In FY26, despite her remuneration being capped at Rs. 5.1 mn (as approved at the 2024 AGM), she received Rs. 4.0 mn as remuneration. We note that her proposed pay equals 5% of DCM Shriram’s FY26 CSR budget (~Rs. 200.0 mn) and is high compared to the Rs. 18.0 mn paid in FY26 to Whole-Time Director K K Sharma, who is in charge of Environment Health and Safety and business sustainability. The company must disclose how her salary has been benchmarked with other executives. We do not support the resolution.

- Axis Mutual Fund, Unifi Mutual FundAjit Shriram, 57, Joint Managing Director, part of the promoter family, has been on the board since May 2001. He attended all five board meetings held in FY25. He has functional responsibility for Strategy, Finance, Digital Transformation and operations of agri businesses, sugar and chloro- vinyl business. The resolution has not articulated his roles and responsibility – this will be subject to the discretion of the Chairperson and Senior Managing Director, Ajay Shriram. Although we support his reappointment, we raise concern over the proposed remuneration structure. Ajit Shriram’s remuneration in FY25 aggregated Rs. 149.6 mn: in the past, the growth in his remuneration has outpaced the growth in company profits and has not been aligned with operating profits. The proposed remuneration terms carry a commission component that is left to the discretion of the board: in the past, commission has ranged from 0.4% to 1.0% of profits. There is no clarity on the performance deliverables for Ajit Shriram for the commission payout. Overall remuneration is not capped in absolute amounts. Therefore, we are unable to estimate the proposed remuneration. We raise concern over the flexibility in the resolution with respect to Ajit Shriram’s roles and the proposed remuneration, on account of which we are unable to support the resolution. Ajay Shriram’s presence on the NRC presents a conflict of interest, given his role as Promoter, Chairperson, and Senior Managing Director. Overall promoter pay is also high – for FY25, it aggregated Rs.510.4 mn, which is 5.6% of FY25’s pre-tax profits.

- SBI Mutual FundAs per his proposed terms of remuneration, we estimate Aditya Shriram’s annual remuneration to be Rs. 15.8 mn (excluding the commission component). While the other Promoter Executive Directors get ~0.5% of the standalone PBT as commission annually (over the last 5 years), in the absence of a track record for Aditya Shroff, we cannot suitably estimate his total remuneration. His commission component is open ended and as a consequence his entire remuneration structure is open ended. While we support his appointment on the board as a Director, we cannot support his remuneration terms due to lack of clarity on his commission structure. - SBI Mutual FundThe company had obtained shareholders’ approval in 2013 to align the DCM Shriram Employee Stock Purchase Scheme (ESPS scheme) with the then prevalent and applicable SEBI Regulations. The company is seeking shareholder approval to carry out changes in the existing ESPS Scheme, to ensure compliance with the latest SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021. While we generally support amendments to Stock purchase schemes as they simply align the schemes to the prevalent SEBI SBEB Regulations, we do not support this resolution as the company has not disclosed the amendments that it intends to make in the current scheme to align it to current regulations. We believe the company must make granular disclosures on the proposed amendments to enable the shareholders to exercise their vote diligently.

While we generally support amendments to Stock purchase schemes as they simply align the schemes to the prevalent SEBI SBEB Regulations, we do not support this resolution as the company seeks to give stock at Face value of Rs. 2, which is at a deep discount to current market price of ~Rs 850. We do not favour ESPS schemes where the exercise price is at a significant discount to market price.

Under the current scheme, the shares can be granted to eligible employees at an exercise price not lower than face value (Rs. 2.0 per share), which represents a discount of 99.8% on the current market price. We do not favour ESPS schemes where shares are granted at a significant discount of more than 20% to market price. ESPS are ‘pay at risk’ shares that employees accept at the time of grant, which is protected if the shares are issued at significant discount to the market price. We believe there is no alignment between the interests of investors and those of employees. Since, we do not support the initial scheme itself, we also do not support the extension of this scheme to the employees/whole time directors of subsidiaries of the company.
