Chemplast Sanmar Ltd. had informed the Exchange that the Supreme Court of India has directed listing of (a) a Special Leave Petition filed by one Mr. M Nizamuddin and (b) a Writ Petition filed by Mr. A Bhuvanenthiran, on April 17, 2009. The Company has now informed the Exchange that at the hearing held on April 17, 2009, the Supreme Court directed listing of the above matter on May 12, 2009. The Court did not grant any stay as prayed for in the application for stay filed by the Petitioners. Further, the Company has intimated about the special Leave Petition filed by one Mr M Nizamuddin challenging the order of the High Court of Madras dated October 31, 2008 dismissing a Public Interest Litigation filed by him with regard to the Marine Terminal Facility in respect of the PVC facility at Cuddalore, and a Writ Petition by one Mr A Bhuvanenthiran, in the Supreme Court of India, relating to the approval granted to the Company to set up a Marine Terminal Facility in respect of its PVC facility at Cuddalore. Further, the Company has informed the Exchange that "We have been informed by our Advocate that at hearing on April 09, 2009 the Supreme Court of India directed listing of the above matter on Friday, the 17th April 2009 at the request of the Counsels for Mr Nizamuddin and Mr Bhuvanenthiran (Petitioners). In this regard, the Company informs the Exchange that "In page 27 of the Letter of Offer, in the "Schedule of Implementation", we have mentioned that the estimated date of commissioning of our PVC Plant at Cuddalore is March 2009. This is to inform you that while the Plant is ready in all respects, we are waiting for certain consents from the Tamil Nadu Pollution Control Board, for which applications have been made as referred to in Sl. Chemplast Sanmar Ltd. has informed the Exchange that March 24, 2009 is fixed as the Record Date for the purpose of Rights Issue. Further, the company has submitted to the Exchange a brief synopsis of the Rights Issue which is as follows: (1) Issue Size and Ratio: Issue of 31,98,79,627 Equity Shares of Re.1/- each for cash at a premium of Rs.4/-, at a price of Rs.5/- per share for an amount aggregating Rs.159,93,98,135/- to its Equity Shareholders in the ratio of 2 Equity Shares for every 3 existing Equity Shares held by the shareholders on the Record Date. (2) Fractional Entitlement: If the shareholding of any of the Equity Shareholders is less than 3 Equity Shares, such shareholders will have zero entitlement. If the shareholding is not in multiples of 3, fractional entitlement of such shareholders shall be ignored. Shareholders having less than three shares or whose fractional entitlements are being ignored would be given preference in allotment of one additional share each if they apply for additional shares. A Composite Application Form (CAF) with zero entitlement will be dispatched to those Equity Shareholders who have holdings of less than 3 Equity Shares and therefore entitled to no Equity Shares under this Issue. Such Equity Shareholders will be entitled to apply for additional Equity shares. However, they cannot renounce this right in favour of third parties.
