An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Sundaram Mutual FundPrem Kumar Bhajanka, 68, is part of the promoter group and one of the company’s four Managing Directors. He is also Vice Chairperson and Managing Director of Star Cement Ltd, a promoter group company. He has been on the board since 16 April 2008. He attended all four board meetings held in FY26. While his reappointment is in line with regulations, the company has seven promoters (41% of the total board size) on the board as executive directors which is disproportionate for the size of business. This practice deters from attracting the right talent to the company. We do not support the resolution.

The company has proposed fixed salary of ₹ 2,00,00,000 per annum (with annual increments), perquisites/allowances up to Rs 1 lakh per month & variable pay (commission) of upto 2% of the net profits of the Company for FY 2026-27 and onwards. While the fixed pay is adequately capped, the variable pay has been linked to the net profits of the Company and there is no absolute cap on variable pay. Hence, since there is no absolute upper cap on variable pay, the AMC has voted against the resolution.
    • Sundaram Mutual FundMs. Nikita Bansal, 37, is a Wholetime Director and belongs to the promoter group – she is the daughter of Sanjay Agarwal, Managing Director & CEO. She has been on the board since 1 February 2017. She leads the product lines for company's plywood and Century Doors product portfolios. She received Rs. 27.5 mn which was 67.4x the median employee remuneration. Based on her proposed terms (resolution #8), we estimate her FY27 remuneration in the range of Rs. 61.4 mn to Rs. 99.5 mn which is not commensurate with the size and scale of the business. We raise concern that there are seven promoters Executive Directors on the board (41% of the total board size), which is not commensurate with the size and scale of the company. This practice deters from attracting right talent to the company. Further, the aggregate promoter remuneration for FY26 was Rs. 222.0 mn, which was high at 6.1% of standalone pre-tax profits. We do neither support her reappointment nor proposed remuneration terms.
