An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against DSP Mutual Fund, Quantum Mutual Fund
    • DSP Mutual FundMs. Rhea Parekh serves as Vice President – International Marketing and is the daughter of Chirag Parekh, Chairperson and Managing Director. She has been promoted to Senior Vice President – International Marketing, effective from 1 October 2026. Consequently, the company seeks approval to revise her remuneration from 1 October 2026. As per public sources, she graduated in 2021 and has approximately five years of post-qualification work experience. She received a remuneration of Rs. 5.0 mn in FY26 and we estimate her FY27 remuneration at Rs. 6.0 mn. We raise concern that her proposed remuneration is higher than the remuneration of Rs. 3.3 mn to Manish Thakkar (Director – Operations) and Rs. 2.4 mn to Mitesh Chauhan (Director – International Sales) in FY26. It remains unclear how the proposed remuneration has been benchmarked internally. Further, the company has not disclosed performance metrics linked to the variable pay. Given, these concerns, we do not support the resolution.
    • Quantum Mutual FundWe do not have any concern on the profile of Ms. Rhea Parekh. However, we take note that her proposed salary of 6 mn, with 90% fixed pay, is significantly higher than the other KMPs. We are of the view a director’s pay should have high share of performance linked component, which does not appear to be the case, in the present package. The company has also not provided adequate justification for the higher pay. Therefore, we do not favour the resolution.
