An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Angel One Mutual FundGovernance concern: Non-Compliant Audit Committee at time of approval of financials. Accounts not vetted by duly compliant audit committee. Absence of a compliant Audit Committee casts serious doubts over the integrity/ accuracy of the financial statements.
    • DSP Mutual Fund, Jio BlackRock Mutual Fund, Sundaram Mutual FundWe have relied upon the auditors’ report, which has raised emphasis of matters as highlighted by the auditors of Bharat Petro Resources Limited (BRPL), a subsidiary company. Auditors highlight that as of 31 March 2026, BPRL uses unaudited figures for five Indian oil blocks. In Cabo Delgado Province in Mozambique, the Operator declared Force Majeure on 22 April 2021. However, it has been resolved and accordingly, the interest cost capitalisation has re-commenced. Further, the Stoppage cost of Rs. 4.1 bn incurred on lifting of Force Majeure has been charged to the Statement of Profit & Loss. The auditors noted BPRL’s 65.4% stake in IBV (Brasil) Petroleo Ltd, accounted for as a joint venture. The management has also stated that sanctions from the Russia-Ukraine conflict have not had an immediate impact on BPRL’s investments in Russia. The auditors’ opinion is not modified in respect of the above matters. Based on the auditors’ report, which is unqualified, the financial statements are in accordance with generally accepted accounting policies and Indian Accounting Standards (IND-AS). However, we raise concern that the company has not constituted an audit committee in line with regulations and does not have sufficient independent directors on the board while the accounts were finalized. In the absence of critical oversight provided by the audit committee, we are unable to support the resolution.
    • Edelweiss Mutual Fund, Navi Mutual Fund, Old Bridge Mutual Fund, PGIM India Mutual FundUnqualified financial statements. Governance concern: Non-Compliant Audit Committee at time of approval of financials. Accounts not vetted by duly compliant audit committee. Absence of a compliant Audit Committee casts serious doubts over the integrity/ accuracy of the financial statements.

    • DSP Mutual Fund, Jio BlackRock Mutual Fund, Sundaram Mutual FundVedveer Arya, 55, is an Indian Defence Accounts Service (IDAS) Officer of 1997 batch. Presently, he is Additional Secretary & Financial Advisor in the Ministry of Petroleum & Natural Gas. Previously, he has held various positions in Government of India such as Integrated Financial Adviser (IFA) to Southern Naval Command, Kochi and Southern Air Command, Trivandrum, Director (Finance) in DRDO, Hyderabad for Agini Missile Programme and various tactical Missile programmes. He is liable to retire by rotation. Further, while public sector enterprises are exempt from the requirement of seeking shareholder approval within three months of the appointment date, as good practice, the company should have sought approval for his appointment within three months. While his appointment is in line with statutory requirements, we are unable to support the resolution because the board composition is not compliant with regulations on independent director representation. We expect the Ministry of Petroleum & Natural Gas to first address the board composition, before appointing its nominees to the board. We do not support the resolution.
