Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

- To approve the re-appointment of M/s. Chaturvedi & Shah LLP, Chartered Accountants, as the Statutory Auditors of the Company
Against DSP Mutual Fund
- DSP Mutual FundThe company proposes to reappoint Chaturvedi & Shah LLP for a second term of five years from conclusion of FY26 AGM. Chaturvedi & Shah were the auditors of erstwhile Borosil Glass Works Limited till FY16 and the auditors of erstwhile Gujarat Borosil Limited, a group company, from FY17 till FY19. They were subsequently appointed as auditors of Borosil Renewables, group company, and the company for five years from FY22. If the proposed appointment is approved, their aggregate association with the group will exceed ten years. Given the extended association of the auditor with group companies, we believe the appointment is not in keeping with the spirit of Section 139 of the Companies Act, 2013, which expects auditors to be rotated every ten years. The firm were paid a remuneration of Rs. 8.2 mn in FY26. We expect the company to disclose fees payable to statutory auditor for FY27 in absolute terms. We do not support the resolution.

He is part of promoter group. As per his remuneration terms his salary can be in the range of Rs. 132.5 – 196.0 mn, which is ~13 – 20% of FY26 PBT (standalone). His remuneration is high for the size and complexity of business. Given the high remuneration we do not support the resolution.
