Mutual fund votes, meeting of 16 Sep 2024, 2 fund houses

  • Adoption of Standalone Financial Statements for the financial year ended March 31, 2024
Against Aditya Birla Sun Life Mutual Fund
    • Aditya Birla Sun Life Mutual FundThe auditors have raised emphasis on the fair valuation of investment property (the company has not initiated the process of valuation of the assets on a fair value basis) and short-term financing from BEML Ltd. We raise concern that the company has not constituted an audit committee and does not have any independent directors on the board. The audit committee plays a crucial role in overseeing financial reporting, reviewing quarterly financial statements, evaluating internal financial controls, and assessing the adequacy of the internal audit function, among other responsibilities. In the absence of the critical oversight provided by the audit committee, we are unable to support the resolution.

    Against Sundaram Mutual Fund
    • Sundaram Mutual FundRakesh Kumar, 58, is Deputy Secretary of Ministry of Defence. He supervises functions of Hindustan Aeronautics Limited and BEML Limited. He has thirty-eight years of experience working with the Government of India and has also worked with Public Enterprises Selection Board (PESB) for five years. He is not liable to retire by rotation. If he remains as a non-rotational director, he may get board permanency. However, we draw comfort from SEBI’s new amendments effective 1 April 2024 which require shareholder approval for such directors at least once in five years. While his appointment is in line with statutory requirements, we are unable to support the resolution because the board composition is not compliant with regulations on independent director representation. We expect the Ministry of Defence to first address the board composition, before appointing its nominees to the board.
