An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Governance Concern: Exercise Period not uniform across employees under the Scheme.
    • Bajaj Finserv Mutual FundThe Company is seeking shareholder approval for the Biocon Unity Long Term Incentive Plan 2026 and the notified plans thereunder, including the Employee Stock Purchase Plan (ESPP), pursuant to which eligible employees may be offered shares at a discount of up to 33% to the prevailing market price. While we support the Company's objective of enhancing employee ownership, retention and long-term alignment with shareholder value creation, we have concerns regarding the ESPP component of the proposal. Specifically, the proposed discount of up to 33% represents a significant economic benefit, but there is limited disclosure regarding the rationale for selecting this discount level, the framework for determining the actual discount to be granted, the employee categories expected to participate and the safeguards governing allocation of such benefit. In our view, greater transparency around the eligibility criteria, participation limits and methodology for determining the level of discount would have enabled us as a shareholders to better assess whether the proposed benefit is appropriately aligned with the stated objectives of employee ownership and shareholder value creation. We otherwise acknowledge the Company's rationale for the broader PSU and RSU framework as a tool for employee retention and long-term alignment. However, given the limited clarity surrounding the proposed ESPP discount structure, we believe we as shareholders do not have sufficient information to fully evaluate the economic impact of this aspect of the scheme. Hence, we are voting AGAINST the resolution

Governance Concern: Exercise Period not uniform across employees under the Scheme.
    • HSBC Mutual FundA vote AGAINST these resolution is warranted because: • The company has not specified objective performance parameters, targets and thresholds for vesting. • The shares under Notified Plan C may be issued with a purchase price at a discount to the current market price. • The proposals include grant of units to employees of group companies without a compelling rationale.
    • Jio BlackRock Mutual FundThe company proposes to grant 43.5 mn equity-based incentives (dilution of upto 2.67% of paid up share capital) under the Biocon Unity Long Term Incentive Plan 2026 (Principal Plan) and the four plans notified thereunder: Biocon Limited Performance Stock Unit Plan 2026 (Notified Plan A), Biocon Limited Restricted Stock Unit Plan 2026 (Notified Plan B), Biocon Limited Employee Stock Purchase Plan 2026 (Notified Plan C) and Biocon Limited Management Stock Unit Plan 2026 (also named as Biocon Unity “Growth Accelerator” Plan 2026) (Notified Plan D). These comprise 6.5 mn PSUs under Plan A, 3.5 mn RSUs under Plan B, 3.5 mn shares under the ESPP and 30.0 mn PSUs/RSUs under the Management Stock Unit Plan. The PSUs and RSUs will be granted at face value, while shares under the ESPP may be offered at a discount of up to 33% to the market price. Under Plan A, vesting will be time based and the NRC may also specify certain performance parameters including but not limited to revenue, profits, return on capital etc. Under Plan D, the vesting will be time based and the NRC may also specify certain performance parameters including but not limited to revenue growth and profits etc. Under Plan B the vesting appears to be predominantly time based. We do not favour ESOP schemes where the exercise price can be at a significant discount (greater than 20%) to market price. ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the options are issued at significant discount to the market price. Further, in case of a deep discount we expect the vesting of the stock options to be based on clearly defined performance metrics along with a confirmation that the targets along with their achievement will be disclosed by the company in the subsequent annual reports. Further, the company should have sought approval for each scheme through a separate resolution to enable shareholders to vote on each scheme separately. Hence, we do not support the resolution.

    • Jio BlackRock Mutual FundUnder resolution #6 the company proposes to extend the Principal Plan and the four notified Plans – Plan A, Plan B, Plan C and Plan D to employees of its present and future subsidiaries, associates and holding companies. IiAS does not generally support the extension of stock option schemes to listed subsidiaries, listed holding companies or other listed group companies. Extensions to unlisted associates may be supported where the company demonstrates a strong business linkage, identifies the associates and its shareholding in them, explains the strategic rationale and confirms that the associate will reimburse the cost of the grants. The resolution does not identify the entities whose employees will participate, the proposed allocation of grants and the rationale for extension of the schemes and whether the subsidiaries/associates/holding companies will reimburse the cost. Also, one of the subsidiaries of the company, Syngene International Limited, is listed on the stock exchanges. Further, our view on this resolution is linked to our view on resolution #5. • DSP Mutual FundUnder resolution #6 the company proposes to extend the Principal Plan and the four notified Plans – Plan A, Plan B, Plan C and Plan D to employees of its present and future subsidiaries, associates and holding companies.

    • DSP Mutual Fund, Old Bridge Mutual FundAt the 2025 AGM, the company had sought shareholder approval to undertake inter-corporate transactions upto Rs. 80.0 bn over and above the statutory limits. The company now seeks approval to increase this limit to Rs. 200.0 bn over and above the statutory limits. Under the existing approval, the company has an available headroom of ~Rs. 41.0 bn. The company is in the process of integrating Biocon Biologics Limited (BBL), a 75.1% subsidiary, by making it a wholly owned subsidiary. Through resolutions #3 and #6, the company has sought shareholder approval for acquisition of shares from minority shareholders of BBL through a combination of cash and equity, aggregating ~Rs. 105.5 bn. Accordingly, the current headroom under the approved limit is insufficient to complete the proposed acquisition approved by the board. The shareholder notice states that the proposed increase in the inter-corporate transaction limit is intended to enable the acquisition of stake in Biocon Biologics Limited and to provide flexibility for future requirements. However, the company has sought shareholder approval for a rolling limit linked to net worth. While we recognize the need to increase the Section 186 limits, we do not support rolling limits and believe that the company should have sought approval for a fixed inter-corporate transaction limit for the proposed transaction. We do not support the resolution.

    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted due to the following reasons: • Rolling limit is linked to the net worth of the company instead of a monetary cap for provision of financial assistance. • Invesco Mutual FundAt the 2025 AGM, the company had sought shareholder approval to undertake inter-corporate transactions upto Rs. 80.0 bn over and above the statutory limits. The company now seeks approval to increase this limit to Rs. 200.0 bn over and above the statutory limits.Under the existing approval, the company has an available headroom of ~Rs. 41.0 bn. The company is in the process of integrating Biocon Biologics Limited (BBL), a 75.1% subsidiary, by making it a wholly owned subsidiary. The company has sought shareholder approval for acquisition of shares from minority shareholders of BBL through a combination of cash and equity, aggregating ~Rs. He is the son of Non-Executive Non-Independent Director, Ravi Mazumdar and is Ms. Kiran Mazumdar Shaw’s nephew. He has served on the board of the company since November 2021. He has attended all six board meetings (100%) held during FY24. He retires by rotation. While academically well qualified, we believe he does not have sufficient experience to be on the board of a listed company. Hence, we do not support the resolution.

Against Axis Mutual Fund, Edelweiss Mutual Fund, Franklin Templeton Mutual Fund, HDFC Mutual Fund, HSBC Mutual Fund, Invesco Mutual Fund, Kotak Mahindra Mutual Fund, Mirae Asset Mutual Fund
    • Axis Mutual FundUnder the scheme 6,539,000 restricted stock units (RSUs) would be granted to eligible employees at an exercise price of Rs. 5.0 per option. We do not favour stock option schemes where options are granted at a significant discount (>20%) to market price since stock options are ‘pay at risk’ options that employees accept at the time of grant. The company has clarified that the NRC has the ultimate authority for administration and superintendence of this scheme. The company has not disclosed granular performance-metrics that will determine the vesting of performance-based grants.
    • Edelweiss Mutual FundExercise price too low to act as an incentive
    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted because the weights of the metrics, threshold, and targets on the performance conditions for vesting, have not been disclosed.
    • HDFC Mutual FundESOPs/RSUs are granted at a significant discount to market price
    • HSBC Mutual FundA vote AGAINST this resolution is warranted because: • The weights of the metrics, threshold, and targets on the performance conditions for vesting, have not been disclosed.
    • Invesco Mutual FundUnder the scheme 6,539,000 restricted stock units (RSUs) would be granted to eligible employees at an exercise price of Rs. 5.0 per option. We do not favour stock option schemes where options are granted at a significant discount (>20%) to market price since stock options are ‘pay at risk’ options that employees accept at the time of grant. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. We make an exception in cases where the vesting of such options is mandatorily linked to detailed performance parameters, which must be disclosed in the shareholder notice and must align to shareholder interests In this case, the actual number of RSUs to be vested each year for each grantee shall be based on individual performance conditions, including growth in revenue, profits, cashflow and ROC, shareholder value creation and such other conditions as may be determined by the MD and CEO in accordance with the terms set by the Committee. The company has clarified that the NRC has the ultimate authority for administration and superintendence of this scheme. The company has not disclosed granular performance-metrics that will determine the vesting of performance-based grants. Thus, we are unable to support the resolution
    • Kotak Mahindra Mutual FundUnder the scheme, 6,539,000 restricted stock units (RSUs) would be granted to eligible employees at an exercise price of Rs. 5.0 per option.
