Pursuant to the scheme of Amalgamation of Bell Ceramics Ltd. with Orient Bell Limited, for the purpose of allotment of equity shares to the equity shareholders of Bell Ceramics Ltd. in the share exchange ratio of 1:4 i.e. one equity share of Orient Bell Limited for every four shares held by shareholders of Bell Ceramics Limited, the 'Record Date' of M/s Bell Ceramics Ltd. has been fixed for May 29, 2012.   Vide its letter dated February 25, 2012 that the Scheme of Amalgamtion / Merger of the company with Orient Ceramic and Industries Limited (OCIL) has now been approved by the Hon'ble High Court of Gujarat vide its oral order dated February 07, 2012. Further, in the similar matter of the company petition filed by OCIL, the Transferee company with the Hon'ble High Court of Uttar Pradesh at Allahabad, that court has also approved the scheme of Amalgamtion / Merger vide its order dated December 19, 2011.
