An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Jio BlackRock Mutual FundUnder the proposed terms, Sanjay S. Rao’s fixed pay aggregates Rs. 44.4 mn for FY27 and FY28. He is also entitled to a one-time equity forfeiture compensation of Rs. 20.4 mn, payable over the first two years of his appointment. His short-term incentive bonus is capped at Rs. 31.8 mn per annum. The terms also provide for a long-term incentive plan (LTIP) computed at 4% of the 'achieved pool' at the end of 2028. The company has clarified that the achieved pool is a function of Group net profit after tax and a matrix outturn linked to Group turnover and stock turn. These, however, are internal workings that have not been explained, and there is no absolute cap on the LTIP payout. The LTIP is therefore open-ended, and we are unable to estimate his aggregate remuneration over the period of his appointment. Further, since the remuneration is USD-denominated and will be recalculated at the exchange rate prevailing when his tenure commences, the INR figures above are subject to exchange rate movements. The company must cap overall remuneration in absolute terms and disclose the basis of calculating 'achieved pool' and LTIP, including the performance metrics that determine variable pay. While we support his appointment as Director, CEO and Managing Director, we are unable to ascertain his aggregate remuneration and therefore do not support the resolution.

Against Axis Mutual Fund, Sundaram Mutual Fund
    • Axis Mutual FundMukesh Hari Butani, 60, is founder and Managing Partner of BMR Legal Advocates, a law firm in India. He is a Chartered Accountant and Lawyer with over three decades of experience. He serves as an Independent Director on the board of five listed companies (including Bata India Limited). Given their full-time responsibilities, regulations allow whole-time directors of listed companies to be Independent Directors in a maximum of three listed companies. We believe that, as Managing Partner at BMR Legal Advocates, his responsibilities are equivalent to a whole-time directorship. Therefore, his high number of directorships on five listed companies (including Bata India Limited) are not in keeping with the spirit of the regulation. Hence, we do not support his appointment.

Mutual fund votes, meeting of 6 Jan 2024, 20 fund houses

  • Appointment of Mr. Gerd Graehsler (DIN: 10337180) as a Non-Executive Director of the Company, liable to retire by rotation
    Against SBI Mutual Fund
    • SBI Mutual FundGerd Graehsler, 46, is the Group Chief Financial Officer of Bata Brands SA. Prior to this he was the Group CFO of Safilo Group from 2014 to 2023 and before that the Director - Group New Business Development & Corporate Strategy at Safilo Group from May 2014 to November 2014. We observe that there are 10 Board of Directors (BODs), out of which 4 are classified as independent. Hence, the effective independence at the SBIMF framework is assessed at 40%. We wish to clarify that we do not have any doubt about the competency of the directors or director representatives. Our only concern is <50% independence on the board. SBIMF’s internal proxy voting guidelines do not allow us to vote in favour of promoter director representatives’ appointment if the board is not 50% independent both in number and spirit irrespective of the chairman of the board being an independent director. This is in line with the Kotak committee recommendations. Hence the appointment is not in line with the requirements. This is why we do not support the resolution.
