An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against DSP Mutual Fund, Edelweiss Mutual Fund, Jio BlackRock Mutual Fund
    • DSP Mutual Fund, Jio BlackRock Mutual FundMs. Avantika Saraogi, 35, is a part of the promoter family and daughter of Vivek Saraogi, Promoter, Chairman and Managing Director. She has been on the board since January 2024 and attended seven of the eight board meetings (88%) held in FY26. She was appointed as Executive Director effective 1 January 2024 and is the Business Lead – New Initiatives. She is liable to retire by rotation. She was paid a remuneration of Rs. 7.3 mn in FY26. Based on the proposed terms, we estimate her proposed remuneration at Rs. 67.5 mn on account of a significant increase in her basic salary and annual performance incentive. The performance incentive was earlier capped at 25% of annual fixed pay at the time of her appointment approval through the December 2023 postal ballot. Under the proposed terms, it would range from 0.75% to 1.25% of net profits, subject to a cap of 100% of basic pay. We recognise her responsibilities across end-to-end cane operations, farmer engagement, technology and ESG, as well as strategic diversification initiatives, including the PLA project. However, the proposed remuneration represents a significant increase over her existing compensation: it is high and not in line with peers. The company has clarified and provided certain performance indicators and stated that her remuneration has been benchmarked against relevant industry and internal comparables. While we acknowledge the expansion in her roles and responsibilities and her involvement in the company's strategic initiatives, the proposed remuneration needs to be assessed in the context of her overall experience and seniority. Given her age and relatively limited professional experience, we believe the proposed remuneration is on the higher side and is not adequately commensurate with her experience. Although we support her reappointment, given the above concerns, we do not support the proposed remuneration. Hence, we do not support the resolution.

The aggregate commission will be within the overall limits of 1% of net profits or capped at a maximum aggregate of Rs. 17.5 mn, whichever is lower. This excludes sitting fees being paid to the non-executive directors for attending board and committee meetings. The company has been judicious in its previous commission payout with a maximum payout of Rs. 12.0 mn in FY24. However, the company has not defined a tenure for payment of commission, the resolution is effectively valid in perpetuity.
