An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Angel One Mutual Fund, ICICI Prudential Mutual Fund
- Angel One Mutual FundGovernance concern: Skewed remuneration in favour of Promoter.
- ICICI Prudential Mutual FundMs. Rashi Vardhan is part of promoter family and Non-Executive Non-Independent Director since 14 June, 2025. She is the daughter of ashovardhan Sinha, Managing Director. Previously, she has been associated with the company in the office of profit position as a Legal Consultant since FY22. At Aditya Vision Ltd, she currently manages legal matters and leads the company’s digital marketing initiatives, overseeing digital content and social media. Given her ongoing involvement in operational and executive functions of the company, the rationale to designate her as Non-Executive Non Independent Director is unclear. Further, there are five promoter directors on the board including Ms. Rashi Vardhan, which is high for the size and complexity of the business. Hence, on prudent basis, the AMC has voted against the resolution.

- To approve payment of remuneration of Mrs. Sunita Sinha (DIN: 01636997), Non-Executive Director of the Company
Against Angel One Mutual Fund, HSBC Mutual Fund, ICICI Prudential Mutual Fund
- Angel One Mutual FundGovernance concern: Skewed remuneration in favour of Promoter Non-Executive Directors. Promoter Director is part of Nomination & Remuneration Committee, her position in the Nomination & Remuneration Committee, coupled with the substantially higher remuneration received by her as well as another Promoter Non-Executive Director.
- HSBC Mutual FundA vote AGAINST these resolutions is warranted because: • The proposed quantum of remuneration is deemed high for a non-executive role. • There is insufficient justification for her proposed pay, which is more than that paid to the executive directors of the company in FY26. • There is a material conflict of interest inherent in the proposed transaction
- ICICI Prudential Mutual FundMs. Sunita Sinha is the founder, promoter, and Non-Executive, Non-Independent Director of the company. Her estimated annual remuneration is at Rs. 18.0 mn, which is higher than the remuneration of Rs. 12.0 mn and Rs. 6.0 mn paid to Nishant Prabhakar and Ms. Yosham Vardhan, respectively, as Executive Directors in FY26. The company states that she is involved in the day-to-day operations of the company and plays a key role in strengthening customer relationships. However, the AMC expects the company to benchmark her remuneration against that of the company’s Executive Directors and provide appropriate justification for the higher pay. Further, Ms. Sunita Sinha serves as a member of the Nomination and Remuneration Committee (NRC), which could create a potential conflict of interest. Given these above concerns the AMC has voted against the resolution.

- Re-Appointment of Mr. Yashovardhan Sinha (DIN-01636599) as the Chairman and Managing Director of the Company.

- HSBC Mutual FundA vote AGAINST these resolutions is warranted because:• Yashovardhan Sinha is MD at two listed public companies. This may impair his ability to devote adequate time to the affairs of each company.• He will be receiving remuneration from two sources, which may create an opaque incentive structure.

- Mahindra Manulife Mutual FundMs. Rashi Vardhan’s proposed annual remuneration of Rs. 9.0 mn is higher than the remuneration of Ms. Yosham Vardhan as Executive Director, who received Rs. 6.0 mn as FY25 remuneration. We do not support such remuneration structures where a Non-Executive Director receives higher remuneration than other Executives on the board since it may have material implications for the chain of command within the company. There is no clarity about how her remuneration has been benchmarked by the NRC. Our view is linked to resolution #1, as we do not support her appointment as Non-Executive Non-Independent Director. Further, the remuneration is also being set as a minimum remuneration in case of inadequate profits, therefore, remuneration may continue to be high even in years of poor company performance. We do not support the resolution.
