Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Against Sundaram Mutual Fund
    • Sundaram Mutual Fund"Aalok Jayendra Patel, 40, is part of the promoter family and son of Jayendrabhai Patel – Chairperson and Managing Director. He was last reappointed as Joint Managing Director in the FY19 AGM. He is also the Joint Managing Director of Namra Finance Limited, a material wholly owned subsidiary. In FY24, he received a remuneration of Rs. 1.0 mn from the listed entity and ~Rs. 4.1 mn from Namra Finance Limited, resulting in an aggregate remuneration of Rs. 5.1 mn. We cannot reliably estimate his proposed remuneration. The company has disclosed that he will receive a salary and perquisites (including variable pay) upto Rs. 12.0 mn per annum. However, we note that historically he has been receiving a higher remuneration from Namra Finance Limited, a material wholly owned subsidiary. Although we support his appointment, we believe this structure of paying remuneration via a subsidiary is not a good practice as it deprives shareholders of the opportunity to vote on that part of the remuneration. In this case, the remuneration from the subsidiary is ~80% of his overall FY24 remuneration. The company must provide granular disclosures on the remuneration to be received from the subsidiary, and seek shareholder approval for his aggregate compensation, including that paid from the subsidiary. We do not support this resolution."
