An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Angel One Mutual FundGovernance and Transparency concern: Inadequate rationale for not opting for the CCM method in the valuation report. Upside profit-sharing arrangements for the benefit of the promoter is not a good governance practice. Lack of clarity with regards to the rights, including the veto, pre-emptive, anti-dilution and conversion adjustment rights to the Rasmeli in Apollo Healthtech Ltd, will continue in the Resultant Company or stand extinguished upon the conversion of the CCPS into equity shares pursuant to the Scheme or not. The lack of disclosure regarding the treatment and survivability of these rights are inadequate. Excessive board nomination rights on the Resultant Company’s Board. The right to Apollo Healthtech Ltd promoter to be appointed as the mandatory chairperson of the Resultant Company, along with the overall special rights, appears disproportionate and not a good governance practice.

    • Old Bridge Mutual Fund, Unifi Mutual FundApollo Hospitals proposes a composite scheme demerge its Identified Business Undertaking into Apollo Healthtech and to merge Apollo Healthco and Keimed into Apollo Healthtech, which will then be separately listed. Apollo Hospitals shareholders will continue to hold shares in Apollo Hospitals and will receive shares in Apollo Healthtech (195.2 for every 100 held). Post-scheme, Apollo Hospitals will primarily house the hospital business, while Apollo Healthtech will house Apollo 24|7, the digital / telehealth business, Apollo Healthco’s pharmacy distribution business and Keimed’s wholesale pharmaceutical distribution business. The transaction will create two focused listed platforms, provide Apollo Hospitals’ shareholders with direct participation in the digital health and pharmacy distribution platform, and may enable supply chain integration, cost efficiencies, margin improvement and reduction of related party transactions with Keimed, a promoter-owned entity. The share swap ratios are supported by an external valuation report. The valuation appears reasonable and in line with peers. However, the Scheme embeds governance arrangements which we are unable to support. Under the Upside Sharing Agreement, Rasmeli will share 1.0% to 9.0% of the gains realized from its investment with Ms. Shobana Kamineni and identified employees, based on Rasmeli’s MOIC. Although the payment will be made by Advent / Rasmeli, such an arrangement aligns the interests of beneficiaries with Rasmeli’s exit returns, rather than with all shareholders of Apollo Healthtech, and may promote short-termism. Further, Ms. Shobana Kamineni, who is proposed to be appointed as Executive Chairperson, is also a beneficiary and has discretion to identify other beneficiaries. Apollo Healthtech’s proposed board structure also embeds nomination rights in the AoA for the promoters, Apollo Hospitals and Rasmeli, without minimum shareholding thresholds, sunset or fall-away condition, which may result in continuing board influence even if the economic ownership of the relevant shareholder reduces over time. Further, Ms. Shobana Kamineni’s appointment as Executive Chairperson is also being approved through the Scheme and is confirmed in the AoA and not through a separate resolution. Shareholders do not have the option to vote separately on the upside sharing arrangement and the board nomination rights. Given our concerns with these arrangements, we are unable to support the resolution.
    • Quantum Mutual FundWe have concerns regarding the Company’s complex cross-holding structure, which reduces transparency. The transaction is with a blood relative of Dr. Prathap C. Reddy, Promoter and Executive Chairperson, Ms. Shabana Kamineni (daughter). The post holding structure of the company is difficult to ascertain due to the crossholding of promoters. The proposed valuation for both the entities does not appear to be reasonable when compared with listed peers. Further, the resolution provides that Ms. Shabana will serve as Executive Chairperson of Apollo Healthtech (when listed). It also provides her with the nomination rights of 3 directors subject to maintaining minimum 10% shareholding, which we believe does not provide adequate skin in the game for such rights. The resolution also includes an upside participation right in favour of Ms. Shobana Kamineni who is set to receive an agreed portion of the upside earned by Rasmeli/Advent from its investment in Apollo Healthco. We do not favour such incentive structures to promoter entities. In view of the reasons enumerated above, we do not favor the resolution.

    • 360 One Mutual Fund, Axis Mutual Fund, Bank of India Mutual FundThe implementation of Apollo ESOP 2024 will lead to a maximum dilution of 1.5% on the expanded capital base. The exercise price under Apollo ESOP 2024 could range between the face value and the market price. Stock options granted at face value represent a discount of ~99.9% on the current market price. We do not favour ESOP schemes where options are granted at a significant discount (>20%) to market price since stock options are ‘pay at risk’ options that employees accept at the time of grant. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. We make an exception in cases where the vesting of such options is mandatorily linked to pre-defined performance parameters and the company has disclosed the performance targets for such parameters. In the current case, the company has clarified that the vesting will be linked to performance-based criteria (50% corporate performance and 50% individual performance). The corporate performance will be measured based on revenue growth, EBITDA growth and quality goals (equal weight to all three) and the company has disclosed the vesting threshold linked to achievement of each parameter. Against Taurus Mutual Fund
    • Taurus Mutual FundThe implementation of Apollo ESOP 2024 will lead to a maximum dilution of 1.5% on the expanded capital base. The exercise price under Apollo ESOP 2024 could range between the face value and the market price. Stock options, if granted at the face value of Rs. 5.0, represents a discount of ~99.9% on the current market price. We do not favour stock option schemes where options are granted at a significant discount (>20%) to market price since stock options are ‘pay at risk’ options that employees accept at the time of grant. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. We make an exception in cases where the vesting of such options is mandatorily linked to detailed performance parameters, which must be disclosed in the shareholder notice and must align to shareholder interests. The company must also disclose specific pre-defined performance targets for such parameters. In the current case, the compensation committee has the authority to determine performance parameters, targets and to alter such terms. In absence of granular clarity on such parameters and targets, we are unable to support the resolution.

    • Taurus Mutual FundThrough resolution #7, the company seeks to extend the benefits of Apollo ESOP 2024 to the employees of subsidiaries, associates, joint ventures and group companies. Our view is linked to resolution #6. Further, we do not support the extension of ESOP schemes to employees of group companies except for unlisted subsidiaries. We do not support the resolution.

    • Bank of India Mutual Fund, Invesco Mutual FundDr. Prathap C Reddy, 90, is the founder of the company and has been the Chairperson since inception. He received Rs. 167.0 mn as remuneration for FY22: his estimated compensation for FY23 is Rs. 194.1 mn and his maximum remuneration is capped at Rs. 217.4 mn. The overall family remuneration stood at Rs. 405.7 mn in FY22 and can go upto Rs. 552.6 mn, based on the maximum payout. While we support his reappointment on the board, we are unable to support the resolution as we believe the overall pay to promoters is high for the size of the company.
