An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • To re-appoint Shri Hosdurg Sundar Kamath Upendra Kamath (DIN:02648119) as Non-Executive Independent Director of the Company
    Against Jio BlackRock Mutual Fund
    • Jio BlackRock Mutual FundH S K Upendra Kamath, 72, is the Former Managing Director and CEO of Tamilnad Mercantile Bank (TMB) and served as the Chairperson and MD of Vijaya Bank. He has been on the board the company since October 2023 and attended all four board meetings held during FY26. The company also seeks shareholders’ approval for his continuation as a director after attaining 75 years of age on 14 December 2028. We note that the prospectus of TMB states that he is a notice in an Enforcement Directorate inquiry relating to alleged violations concerning the issue of TMB bonus shares. While recent judiciary and tribunal rulings have protected the underlying assets and structural equity of TMB, individual regulatory and civil liabilities remain unresolved for legacy directors, including H.S.K. Upendra Kamath. In the absence of final clarity on the outcome of these proceedings, we are unable to fully assess the implications, if any, on his ability to effectively discharge his board responsibilities. Accordingly, we do not support the resolution.

    • Angel One Mutual FundInadequate disclosure with respect to SAR price.
    • DSP Mutual Fund, Jio BlackRock Mutual Fund, Mahindra Manulife Mutual Fund, Sundaram Mutual FundThe company seeks shareholder approval to extend the benefits of APL Apollo Tubes Limited Stock Appreciation Rights Scheme 2019 – (SARs 2019) to the eligible employees of its Associate Company(ies), in India or outside India. We do not support the grant of stock options to employees of group companies, associates or listed holding companies. Additionally, our view on this resolution is also linked to our recommendation for APL Apollo Tube’s SARs 2019 - January 2020 Postal Ballot. We note that as per the scheme, the exercise price of the SAR’s will be based on the market price on the date of the meeting of the NRC, but it will be at the discretion of the NRC whether to grant SARs at market price or at a discount to market price. SARs are ‘pay at risk’ options that employees accept at the time of grant. The inherent assumption of an SARs scheme is that there could be possible downside risks – and that employees may not be rewarded in case of adverse stock price movements. We do not favour incentive schemes where the exercise price might be at a significant discount to market price as the downside risk is protected. We do not support the resolution.
    • Edelweiss Mutual Fund, LIC Mutual Fund, Navi Mutual Fund, Old Bridge Mutual Fund, PGIM India Mutual FundNon-Compliance with SEBI SBEB & SE Regulations: Inadequate disclosure with respect to SAR price.
    • ICICI Prudential Mutual FundDue to inadequate disclosures w.r.t. SAR price under the Stock Appreciation Rights scheme, the AMC has voted against the resolution.

    • Axis Mutual Fund, Bank of India Mutual Fund, Sundaram Mutual FundUnder the APL ESOP 2025, a total of 5,000,000 stock options can be granted to eligible employees of the company, its subsidiary company and associate company(ies), in India or outside India of the company. The scheme contours provide significant flexibility to the Nomination and Remuneration Committee (NRC) with respect to both, the exercise price, and the vesting criteria. Although the company has stated that the exercise price is linked to the market price, it allows the NRC to give a discount to the market price. The company has stated that the vesting may be time-based and/or performance based, which will be decided by the NRC. In case of performance-based vesting, the company has provide examples of metrics that include market capitalization, revenue, EBITDA, ROCE, and individual performance of employee – but once again allows the NRC to use any other parameter. Given the flexibility embedded into the scheme contours, we are unable to assess if the scheme aligns the interests of shareholders and employees. Therefore, we do not support the resolution.
    • HDFC Mutual FundWe do not support ESOP's granted at significant discount to market price. We do not support the resolution.
    • HSBC Mutual FundA vote AGAINST is warranted because scheme permits stock options to be issued with an exercise price at a discount to the market price on the date of grant. The proposals include grant of options to employees of associate companies without a compelling rationale.

    • 360 One Mutual Fund, Axis Mutual Fund, Bank of India Mutual FundAPL Apollo Tubes’s board has thirteen executive directors, four of which belong to the promoter group. At a current board size of 13, the board is already larger than the median board size of NIFTY 500 companies and top 100 companies, which is about 9 to 10 directors on 31 March 2024. We believe that consensus on many critical issues may be difficult to achieve if the board size exceeds 15 members. Therefore, we do not support the resolution.
    • Bandhan Mutual Fund, Groww Mutual Fund, LIC Mutual Fund, Motilal Oswal Mutual Fund, Nippon India Mutual Fund, PGIM India Mutual Fund, Zerodha Mutual FundNon-Compliant with law: Article 97(1) of the AOA allows the minimum no. of Director on the Board to be less than six directors. Governance Concern: Proposed limit of 20 directors is excessive considering size of the Company and need for same is not explained well.

    • Bank of India Mutual Fund, Sundaram Mutual FundRahul Gupta, 29, is part of the promoter group and is the son of the Chairperson and Managing Director, Sanjay Gupta. He was the Managing Director of Apollo Tricoat Tubes Ltd (since May 2018) before its merger with the company in FY23. He has been on the board as a Non-Executive Non-Independent Director since August 2021. He holds a B.Com. from Delhi University and has completed executive courses in Management from London School of Economics and Indian Institute of Management, Ahmedabad. He has attended all four board meetings in FY23. (100%). He has a total experience of seven years. While his appointment is in line with the statutory requirements, we note that with an aggregate work experience of less than 10 years, his reappointment does not align with our voting guidelines.
    • HSBC Mutual FundA vote AGAINST this resolution is warranted given that the limited work experience of the nominee could raise concerns on his potential contribution to the board.

    • SBI Mutual FundRahul Gupta, 29, is part of the promoter group and is the son of the Chairperson and Managing Director, Sanjay Gupta. He was the Managing Director of Apollo Tricoat Tubes Ltd (since May 2018) before its merger with the company in FY23. He has been on the board as a Non-Executive Non-Independent Director since August 2021. SBIMF’s internal proxy voting guidelines do not allow us to vote in favour of promoter directors’ or promoter director representatives’ appointment/re-appointment if the board is not 50% independent both in number and spirit irrespective of the chairman of the board being an independent director. This is in line with the Kotak committee recommendations. Further, we observe that there are 9 Board of Directors (BODs), out of which 4 are classified as independent directors. Hence, the effective independence of the board at SBI MF framework is assessed at 44%. We wish to clarify that we do not have any doubt about the competency of the directors or director representatives. Our only concern is <50% independence on the board, for which we hold Promoters accountable. This is why we do not support the resolution.
