Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. • To adopt the Audited Financial Statements of the Company for the financial year ended March 31, 2023, together with the reports of the Board of Directors and Auditors thereon
    Against Sundaram Mutual Fund
    • Sundaram Mutual FundWe have relied upon the auditors’ report, which has issued a qualified opinion on financial statements. In December 2022, the company received an anonymous whistleblower complaint alleging lapses (undue enrichment through marketing, advertising and procurement activities, ethical concerns, and conflict of interest etc.) by certain senior management employees. The company had initiated forensic investigation by Deloitte Touche Tohmatsu India LLP (forensic auditors), which was informed to the shareholders in February 2023. The draft investigation report of forensic audit (May 2023) reported potential collusions with respect to marketing and advertising activities of certain employees, resulting into payments of potential kickbacks / commission aggregating to Rs. 0.86 mn to such employees from vendors onboarded. The management believes that the impact is not material to the financial statements. The company has terminated the services of those employees / vendors. The investigation is still in progress with respect to contract / casual labour expenses pertaining to sales activities and pending the completion of the independent investigation, the auditor is unable to determine the outcome and impact on financial statements. The auditors have also qualified their opinion on the internal financial statements stating that the financial controls over vendor onboarding process was not operating effectively which could potentially result in overstatement of marketing and advertisement expenses.

  • Appointment of Mr. Muralidharan Swayambunathan (DIN: 09198315)as a Non-executive Independent Director of the Company
    Against DSP Mutual Fund
    • DSP Mutual FundMuralidharan Swayambunathan, 64, is a Company Secretary and Associate Member of The Chartered Governance Institute UK & Ireland (erstwhile ICSA UK). He has 35+ years of experience in various industries in India and abroad. His career span has been across reputed organizations including TVS Sundaram Clayton Group Companies, Amrutanjan and International retail duty free group. He was employed with Amrutanjan in the senior management cadre from August 1991 to July 2003. While there has been a gap of 18 years since then, we do not support the appointment of former employees who are on the board along with their previous supervisors, independent of whether they have completed a three-year cooling period. In this case, S Sambhu Prasad and Dr. Pasumarthi S N Murthi, members of the promoter group, continue to serve on the board.
