An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • Approval of material related party transaction(s) with M/s. Aeroflex Enterprises Limited (formerly known as SAT Industries Limited) (‘AEL’).
Against Invesco Mutual Fund, LIC Mutual Fund, Nippon India Mutual Fund
    • Invesco Mutual FundAEL is engaged in manufacturing, leasing, finance, investments, domestic trading and import & export through its various subsidiaries. It is the holding company of Aeroflex Industries Limited (AIL), with 61.23% equity. There is a disconnect in the notice – the audit committee has approved related party transaction upto Rs. 2.5 bn, but the company appears to be seeking an approval for transactions aggregating Rs. 1.5 bn only. The proposed transactions to be undertaken over three years are for sale, purchase or supply of goods or services or any other similar business transaction and trade advances aggregating Rs. 500.0 mn and borrowings for Rs. 1,000.0 mn. It is unclear whether the borrowings relate to lending of funds or borrowing of funds – the resolution is ambiguous. Further, for borrowings, the company has stated that the transaction is prospective in nature and proposed to be entered into for FY26, the actual rate of interest can be determined only when the transaction actually takes place considering market conditions. The company should have provided a framework for how it proposes to price the proposed debt. We do not support transactions where there is no clarity on the rationale for, and the terms of the financial assistance. We do not support the resolution.

    • Invesco Mutual FundAt the closing market price of Rs. 205.5 on 24 December 2024, the company will issue ~19.5 mn shares to raise capital of Rs. 4.0 bn. This will lead to a dilution of ~13.1% on the expanded capital base. The company has disclosed that the funds raise will be utilized towards capacity expansion, and research & development capabilities, investments in subsidiaries, capex and business expansion, repayment of debt, inorganic acquisition, working capital requirements and general corporate purposes. The company raised Rs. 3.5 bn (Rs. 1.6 bn through fresh issue and Rs. 1.9 bn through Offer for sale) through IPO in August 2023. Since, the company is seeking to raise capital of Rs. 4.0 bn, which is higher than the IPO raise, it must provide granular details in the meeting notice regarding the usage of funds to be raised and a detailed rationale for the need to raise funds just 16 months after the IPO. Due to the lack of clarity, we do not support the resolution

    • Invesco Mutual FundAs per the plan, the company proposes to issue 1,293,204 stock options to employees of the company. The exercise price is at the discretion of the NRC. ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the ESOPs are issued at significant discount to the market price. Such practices do not align the interests of investors and employees. The scheme may include time-based and performance-based vesting. We do not support time-based stock options, since they do not align with investor interests. Reported for the quarter to Jun 2026. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far.
