An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Angel One Mutual FundGovernance concern: The Director has failed in his fiduciary duty towards minority shareholders and safeguarding their interest in another company.
    • Edelweiss Mutual Fund, Navi Mutual FundCompliant with law. Governance concern: The Director has failed in his fiduciary duty towards minority shareholders and safeguarding their interest in another company.
    • Jio BlackRock Mutual FundRamesh Abhishek, 66, is a retired Indian Administrative Service Officer of the 1982 batch. He retired as the Secretary of The Department for Promotion of Industry and Internal Trade (DPIIT). He has also served as the Chairperson of The Commodity derivatives Markets regulator and Forward Markets Commission. He has been an Independent Director on the board since 1 January 2022 and he has attended all eight board meetings in FY26. We raise concern that he was an Independent Director on the board of Paytm Payments Bank Ltd. (PPBL) from 3 August 2021, till his resignation on 20 February 2024. The Reserve Bank of India, on 31 January 2024, directed PPBL to stop accepting any deposits/ credit transactions/ top ups/ in customer accounts, prepaid instruments, wallets, FASTags, etc. after 29 February 2024 (extended till 15 March 2024); among other restrictions. RBI cited persistent non-compliances and continued material supervisory concerns in the bank as identified in the Comprehensive System Audit and compliance validation report of the external auditors. Subsequently, effective 24 April 2026, The Reserve Bank of India cancelled PPBL’s banking license. Given these concerns, we are unable to support the resolution.
    • Quantum Mutual FundMr. Ramesh Abhishek's reappointment as an Independent Director raises concerns from a governance perspective. As per public sources he has been investigated by CBI and ED in 2024 in relation to his involvement in alleged commission received during his tenure as Forward Market Commission (FMC) Chairman in the period of 2012-15. Further, there was a legal probe on his role in matters connected to NSEL payment default in 2013. We are of the view that he may not be a fit and proper candidate for an independent director. Therefore, we do not favour resolution of his reappointment as the independent director of the company.

    • Jio BlackRock Mutual Fund, Unifi Mutual Fund, UTI Mutual FundUnder the ABSLAMC Scheme 2025, the company proposed to issue options in the form of ESOPs and /or PSUs. The vesting criteria for ESOPs and PSUs is performance based - but the NRC has the discretion to lay down the parameters in the grant letter. Although, the exercise price for ESOPs is Market Price; for PSUs, the exercise price is face value of Rs. 5.0 per share. We believe that ESOPs/PSUs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the ESOPs/PSUs are issued at significant discount to market price. If options are issued at a deep discount to the market price and carry performance-based vesting, we expect companies to disclose specific corporate-level targets, along with an indicative range of weightages for each of the parameters and disclose the basis of vesting, including targets, in the subsequent annual reports. In this case, the exact mix of ESOPs and PSUs has not been disclosed. Further, while the PSUs may have performance-based vesting, such criteria will be at the discretion of the Nomination and Remuneration Committee (NRC) – these performance parameters may include profitability, revenue, share price growth, among others – with the NRC retaining the discretion to change these. Given the lack of clarity, we are unable to support the resolution.
