Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Taurus Mutual Fund
- Taurus Mutual FundUnder ABLBL, a total of 4,370,000 ESOPs and PSUs can be granted to employees of the company and its subsidiaries, leading to a dilution of ~0.4% on the expanded capital base. ESOPs will be issued at market price and vest on continuity of employment, while PSUs will be issued at face value, with the NRC having discretion to set performance parameters. The company has not fixed the mix of ESOPs and PSUs, though it has indicated a ratio of 75:25. While we support ESOPs at market price, we do not favour schemes where units are granted at a significant discount (>20%) to market price since stock options are ‘pay at risk’ options that employees accept at the time of grant. In the case of deeply discounted options (units granted at face value), there is no alignment between the interests of investors and those of employees. We make an exception in cases where the vesting of such units is mandatorily linked to detailed performance parameters, which must be disclosed in the shareholder notice and must align to shareholder interests. The company must also disclose specific pre-defined performance targets for such parameters. In the current case, the compensation committee has the authority to determine performance parameters, targets and to alter such terms. In absence of granular clarity on such parameters and targets, we are unable to support the resolution.
