Zenith Birla (India) Limited had informed the Exchange that the Company has fixed Book Closure from August 13, 2013 to August 19, 2013 for the purpose of Annual General Meeting of the Company will be held on August 19, 2013 and accordingly the Book Closure Notice for the purpose of ensuing Annual General Meeting is from August 13 , 2013 to August 19, 2013. The Company has now informed the Exchange the Board of Directors has decided to postpone (1) the holding of its ensuing Annual General Meeting (which was scheduled to be held on August 19, 2013); (2) Book Closure Date (which was scheduled to be closed for the period August 13, 2013 to August 19, 2013). Accordingly, the holding of Annual General Meeting and date for Book Closure, stands cancelled.

Board of Directors has decided to reward the shareholders, in the Golden Jubilee year of the Company, by way of bonus issue. Company has fixed 5th March, 2010 as the "Record Date" for the purpose of determining the shareholders of Zenith Birla (India) Limited, who will be entitled to receive Equity Shares of the Birla Precision Technologies Limited (Resulting Company). In accordance of the Scheme, the equity shareholders of Zenith Birla (India) Limited will be issued equity shares of Birla Precision Technologies Limited as on the record date in the ratio of 2 (Two) Equity shares of the face value of Rs.2 each credited as fully paid up of Birla Precision Technologies Limited for every 5 (five) Equity shares of the face value of Rs.10 each held in Zenith Birla (India) Limited. Further the Company has informed that "Zenith Birla (India) Ltd. will issue and allot Equity Shares of Rs.10/- each to the shareholders of the Transferor Company (Tungabhadra Holding Private Ltd.) whose name appear on the Register of Members as on 5th March, 2010 in the ratio of 19 (nineteen) equity shares of the face value of Rs. 10/- each of the Zenith Birla (India) Limited for every 7 ( seven) equity shares of Rs.10/- held in Tungabhadra Holding Private Limited. Further, the Company has submitted the detailed Note on Scheme.
