The Wholly Owned Subsidiary of the company i.e. M/s Winsome Yarns (Cyprus) Limited, Cyprus to acquire the knitwear business in Italy and Romania has acquired 90% shareholding of M/S Winsome Romania s.r.l., Satu Mare, Romania. Further, M/S Winsome Romania s.r.l. a step down subsidiary of the Company has Acquired 100% shareholding of M/S IMM Winsome Italia s.p.a, Italy which in turn holds 100% shareholding of M/S S.C. Textile s.r.l, Satu Mare, Romania.

Auditor's have conducted the limited review of the unaudited financial results for the quarter ended December 31, 2006 and found the same to be in order subject to certain observations. The auditor's observations are: (a) Provision for depreciation has been made on Plant & Machinery as per the rates applicable to continuous process plant based on the technical evaluation which has been relied upon by the auditors since it is a technical matter (impact unascertained). (b) No provision has been made for short fall in recovery (amount unascertainable) against Debts aggregating Rs.149.76 lacs for which legal and other persuasive actions for recovery has been initiated, since in the opinion of management these debts are good and recoverable.
