Voltas Ltd. has informed the Exchange that Upon receipt of requisite approvals/clearances, the Company has purchased from Fedders International Airconditioning Private Limited (FIACPL), a subsidiary of Fedders Corporation, USA 1,38,21,000 equity shares of Rs.10 each of Universal Comfort Products Private Limited (UCPL), a 50:50 joint venture company between Voltas and FIACPL, representing their 50% shareholding in UPCL, for a Consideration of Rs.312.04 lakhs. The transfer of shares in favour of Voltas Limited has been approved by the Board of Directors of UCPL on June 17, 2008. Accordingly, UCPL ceases to be a joint venture company between Voltas and FIACPL and becomes a wholly owned subsidiary of Voltas Limited effective June 17, 2008. UCPL is engaged in the business of manufacturing Window Room airconditioners and Split airconditioners.

Voltas Ltd. has informed the Exchange that: "Saudi Ensas Company Limited (SECL), a joint venture company, is a limited liability company incorporated in Jeddah, Kingdom of Saudi Arabia (KSA) and has a paid up capital of SR.2.600 million. Voltas Limited along with its subsidiary holds 49% of the capital and the balance 51% is held by a local company in Saudi Arabia. SECL is engaged in the execution and operations/maintenance of electro mechanical installations in KSA. As part of rehabilitation/financial restructuring of SECL, the local partner has agreed to transfer their entire 51% shareholding in SECL to Voltas Limited for 'Nil' consideration. The transfer of shares is subject to statutory approvals in KSA and approval of the Reserve Bank of India. Upon receipt of requisite approvals for transfer of 51% shareholding in favour of the Company, SECL would cease to be a joint venture company and become a wholly-owned subsidiary of Voltas Limited".10 Dec · Updates

Fedders have agreed to divest and offered to transfer their 50% shareholding in UCPL to Voltas Limited. Voltas Ltd. has informed the Exchange that "The Company had earlier with the approval of the Shareholders passed a Special Resolution for increasing the ceiling of FII Investments under Portfolio Investment Scheme (PIS) from 24% to 30% of the Paid-up Capital of the Company. The increase in the FIIs limit was communicated to the concerned authorities including Reserve Bank of India (RBI). (2) RBI, has by its letter FE.Co./FID/18771/11.01.091/2006-07 dated 23rd February, 2007 informed that the aggregate shareholding of FlIs had reached 28.08% of the paid-up capital of the Company as against a limit of 30%. RBI has also informed that it monitors FII investments under PIS only at sectoral cap/statutory ceiling as applicable and not at the intermediate ceiling fixed by the Company, which in our case is 30%.
