Board of Directors of the Company has, by way of a circular resolution dated June 19, 2013 passed on June 20, 2013, approved a proposal: (i) to issue bonus shares subject to the approval of the promoter/promoter group forgoing their entitlement to the bonus shares and approval of members in a general meeting; (ii) call for an extra-ordinary general meeting of the members of the Company; and (iii) fix the record date for the purpose of the bonus issuance, in order to comply with the minimum public shareholding requirement as stipulated under the Securities Contracts (Regulations) Rules, 1957, as amended.The bonus issue is being made in the proportion of two (2) equity shares of Rs.10/- each for every fifteen (15) equity shares of Rs.10/- each held in the Company as on the record date, to be fixed for this purpose.
