The appointment of Mr.Kartikeya Misra, IAS as a Director on the Board of Directors of the Company as nominated by Andhra Pradesh Industrial Development Corporation Limited (APIDC). (2). The appointment of Mr.N.Sivalai Senthilnathan as Chief Financial Officer of the Company.The Company has replied as follows:1. Brief profile in case of appointments approved by the Board :a. Appointment of Mr.Kartikeya Misra, IAS as Director nominated by APIDC : Mr.Kartikeya Misra is Member of Indian Administrative Service (IAS) and presently deputed to Andhra Pradesh (AP) cadre and serving as Director, Industries & Commerce Department, Govt. of AP. He is also holding the position of Vice Chairman & Managing Director of APIDC. He also holds Directorships in APITCO Limited, APIIC Limited, Andhra Pradesh Gas Infrastructure Corporation Pvt Ltd and Krishnapatnam International Leather Complex Pvt. Ltd. Earlier, he served as Managing Director of APNPDCL between 2012 and 2014 and Jt. Managing Director of Transmission Corporation of Telangana Limited between August, 2014 and January, 2015.b. Appointment of Mr.N.Sivalai Senthilnathan as Chief Financial Officer : Mr.N.Sivalai Senthilnathan is a Member of the Institute of Chartered Accountants of India and the Institute of Company Secretaries of India. He has also done Certificate Courses viz. Certified Public Accountants, USA (CPA), Information Systems Audit and Control Association, USA (CISA). He is a seasoned Finance professional having about 20 years of experience in reputed listed entities and Corporate Companies including WABCO India Limited, Tata Projects Limited, Deloitte Haskins & Sells. He has rich experience and expertise in Financial Reporting, Financial Planning and Analysis, Fund Management, Taxation, Internal Financial Controls, and Company Secretarial matters. 2. Relationship of Mr.Kartikeya Misra with other Directors : Mr.Kartikeya Misra by virtue of being nominee director, has no interest or concern or any relationship with other directors of the Company.
