      News Verification : The media had reports that Sical Logistics Limited may acquire a freight forwarding company. The Exchange, in order to verify the accuracy or otherwise of the information reported in the media and to inform the market place so that the interest of the investors is safeguarded, had written to the officials of the company. Sical Logistics Limited has vide its letter inter-alia stated, "The Company has been looking at its presence in freight forwarding business for quite some time now, but has not reached any definitive agreement or concluded talks with any person/firm to acquire any freight forwarding company; neither any proposal in this regard has been put up to the Board of Directors of the company."

      Auditor's have conducted the limited review of the unaudited financial results for the quarter ended September 30, 2007 and found the same to be in order subject to certain observations. The auditor's observations are : 1) Investment in certain shares, considered as long term in nature by the management, whose market value is lower by Rs. 1151.09 lakhs. 2) Advances covered by court cases and arbitration and debts outstanding for more than three years aggregating to Rs. 2311.38 lakhs. Ultimate shortfall if any on disposal of these assets & investment and settlement of these debts & advances is not presently ascertainable and hence, we are unable to express an opinion on these matter.

Response : Investments in these equity shares are strategic long term investments and the intrinsic value of the same is significantly higher as compared to its market value. The board is of the view that provision for any shortfall in market prices of long term investments may not necessarily be a true reflection of the company's networth and hence the difference between market value and book value need not be provided for. The shortfall as on September 30, 2007 is Rs. 11.51 Crores. 2) Comment : Advances under court Cases & Arbitration aggregating to Rs. 23.11 Crores are stated at book values : Response : These pertain to cases under court & arbitration proceedings and are being closely followed up with legal counsels.
