Shriram Epc Limited had informed the Exchange regarding Postal Ballot - Approval for amendment to the Object Clause Under Section 17 of the Companies Act, 1956 and approval for under Section 81(1A) of the Companies Act, 1956, for issue of shares under ESOP-2007 Scheme. The Company has now informed the Exchange that Ms. B. Chandra, a practicing Company Secretary, has been appointed by the Board of Directors of the Company as a Scrutinizer for ascertaining the requisite majority in a fair and transparent manner in accordance with the Companies (Passing of the Resolutions by Postal Ballot) Rules, 2001, as ammended. The Postal Ballot process has been completed as per the Calendar of Events and as required under Section 192A of the Companies Act, 1956, and in accordance with the companies (passing of the Resolutions by Postal Ballot) Rules, 2001 as amended. Further the Company has submitted to the Exchange a copy of the Scrutinizer's Report dated January 10, 2009. Chandra, a practicing Company Secretary, Chennai-26, had been appointed by the Board of Directors of the Company at its meeting held on 16/5/2008, as a Scrutinizer for conducting the said postal ballot voting process.
